| 中文摘要： | 改革开放以来，中国经济发展迅速，像是一匹黑马在全球备受瞩目。经济发展使得国民经济大力发展、国家综合国力不断提升。宏观经济形势越来越好，企业的竞争也越来越大。现今，收购已经成为企业发展壮大的重要方式之一。 企业在实施项目过程中面临的风险对企业的发展而言至关重要，本文通过研究发现企业项目收购的风险主要体现在收购的各个阶段：前期战略风险，实施中交易风险，收购后期的整合风险，以及退出风险。每一个阶段面临的风险因点也各不相同，战略风险主要包括体制、政策、法律和产业风险。收购过程风险主要包括收购企业自身评估、对目标企业的评估、产业相关度、反收购、财务等方面的风险。运营过程风险主要包括经营、文化、人事这三方面的整合风险。退出阶段风险主要包括企业内外部风险及退出时间和方式选择所带来的风险。其中，不同的风险点还具体包括各个方面的风险因素。因此，企业项目收购中面临的风险来自各个方面。基于风险的分析本文使用HAP和模糊评判两种方法相结合构建企业收购风险凭识别的评价体系，用于评价企业项目收购的风险等级，有助于企业项目收购的风险识别。同时，本文举例群达公司收购力达公司的案例进行实证分析与研究。最后，本文提出收购各个阶段的风险应对措施，为企业项目收购提出有建设性的建议，以期对企业项目收购面临的风险防范有一定的作用。 | |
| 英文摘要： | Since the reform and opening up, China 's rapid economic development , such as a dark horse in the global scrutiny. Economic development makes great efforts to develop the national economy , rising comprehensive national strength . Macroeconomic situation is getting better , competition among enterprises is also growing . Today, the acquisition has become an important way for enterprises to grow . In the process of implementing enterprise risk facing the project is critical for the development of enterprises , the paper found that the acquisition of venture projects mainly in the acquisition of three stages : pre strategic risk , post- transaction integration implementation risks, acquisition risk. Risk of facing points at each stage also varied , strategic risks include institutional, policy , legal and industrial risks. Transaction risks include the acquisition of their own risk assessment, evaluation of the target company , industry related degree , reverse takeovers , financial and other aspects . Acquisition integration risks include integration risk management, culture , personnel in these three areas . Among them, the different risk points also specifically includes all aspects of the risk factors . Therefore, the risk faced by business acquisitions from various aspects . Build enterprise combining with the acquisition of risk evaluation system to identify and evaluate the risk level for enterprise project acquisition , the acquisition will help the enterprise project risk identification and use of HAP two fuzzy evaluation method based on risk analysis in this article . Meanwhile, this paper , for example Qunda company acquired the Lida company analysis and case studies .
