中文摘要：	众所周知，跨国并购面临众多风险，有效地控制包括法律风险在内的各种风险对于并购的成功至关重要，这样并购法律风险的控制方法就成为一个十分重要的研究课题。本文基于投资银行业务的视角，采用文献调研、案例分析和规范研究与实证研究相结合等多种方法，对跨国公司在华并购项目法律风险的控制方法进行了研究。 首先，对相关理论进行了综述，发现跨国公司在华并购不断深入，其面临的风险尤其是法律风险也越来越大，而中国现有的并购风险管理理论还处于起步阶段，缺乏对法律风险的控制方法的研究，投资银行作为跨国公司在华并购的财务顾问，帮助企业有效地控制包括法律风险在内的各种风险是其重要任务之一。 其次，通过对跨国公司在华并购项目的独特性、其法律环境的独特性以及跨国公司在华并购项目法律风险自身的独特性进行分析，发现对于跨国公司在华并购项目而言，法律风险不可避免且具有特殊重要性，与一般的跨国并购相比法律风险更大，法律风险虽然复杂，但却是可以控制的。 然后研究了法律风险的控制方法，包括法律风险的识别、度量和应对等三个部分。对于法律风险的识别和度量，主要研究了识别和度量的含义和主要工作内容、识别和度量的方法和技术、识别和度量的程序和步骤等。关于法律风险的应对，主要研究了应对策略和具体应对措施等，给出了“三部曲”式的应对策略和从管理角度的开展具体应对措施。 最后，结合一个实际的案例，对本文提出的控制方法进行了验证。这一案案例是一个跨国股权并购项目，通过采用适当的控制方法，成功地控制了并购过程中的法律风险。通过验证发现，本文提出的控制方法在实践中是可行的和有效的。
英文摘要：	As we all know, cross-border M&A faces many risks, and it is critical to its success to control all the risks (including legal risk) effectively. So the control method of legal risk has become an important research topic. From the perspective of investment bank business, this paper studies on the control method of legal risk in cross-border M&A by multinational corporations in china, with the methods of literature study, case study and the combination of normative and empirical research. First, the relevant theories were reviewed, and it was found that the risks, especially legal risk in cross-border M&A in china, became greater, but Chinese current M&A risk management theory was still at the fledgling stage, lacking enough research on the control method of legal risk. Investment banks, as the financial consultants of cross-border M&A in china, had the responsibility to help the enterprises effectively control legal risk. Secondly, through the research on the uniqueness of cross-border M&A project by multinational corporations in China and its legal environment and legal risks, it was found that the legal risks were unavoidable and had a special importance, and compared with common cross-border M&A the legal risk of cross-border M&A in china was more complicated, but it can be controlled. Then control method of legal risk was studied, including legal risk identification, measurement and response. On the identification and measurement, the research content mainly included the meaning and main work contents, the methods, the procedures and steps. On the response, the research content mainly included the main response strategy called "Trilogy" and the specific response measures. Finally, through an equity acquisition project, in which legal risk was successfully controlled, the control methods were verified. And it was proved that the control methods proposed in this paper in practice is feasible and effective.
