中文摘要:中国改革开放35年来,社会经济巨大发展,经济结构也有了较大变化,近年来中央企业已成为一个重要的利益集团层,有关央企的制度建设问题,尤其是它的董事会建设成为社会各界关注的热点,董事会制度是“深化国有企业改革,建立现代企业制度,完善法人治理结构”的核心问题。 央企的董事会建设起步较晚,也存在一些问题,对央企而言,如何通过现代化的公司治理方式以及科学规范的管理手段,建立协调运转、有效制衡的董事会治理结构,使董事会成为企业快速发展的决策中心和推动主体,以使企业逐步规范化、高效化运营,实现出资人权益的最大化,是我国国有企业改革面临的现实问题,也是本文研究的主要内容。 本文的文献研究和理论研究部分重点分析了国有企业董事会制度建设方面的文献,从董事会的结构、职能和董事会成员行为方面综述了现有研究,比较了国内外国有企业董事会制度的建设模式,在此基础上对中央企业董事会试点工作实践进行了梳理,就央企董事会的结构和职能设计进行了分析,同时,总结了央企董事会建设中存在的问题。在文献研究和央企董事会建设实践梳理的基础上,论文重点关注了中国中煤能源集团有限公司(简称中煤集团)的董事会建设试点问题。中煤集团是国务院国资委管理的国有重点企业,主要从事煤炭生产贸易、煤化工、坑口发电、煤矿建设、煤机制造以及相关工程技术服务。随着集团规模逐渐壮大,集团组织结构日趋复杂,集团化管控的难度明显提高。2009年中煤集团公司开展董事会试点工作以来,中煤集团对于公司治理机制建设高度重视,进行了基本的制度建构,向规范的现代化公司治理制度推进,但在这一过程当中由于习惯于过去国有企业传统的制度理念,因此中煤集团的董事会建设试点需要克服诸多问题,论文分析了中煤集团目前董事会建设中存在的问题,针对这些问题提出了优化对策。本文的相关建议和措施具有较强的针对性和可操作性,对于中煤集团和中央企业董事会治理工作,具有一定的参考价值。  
英文摘要:Because of a huge development of the social economic from 35 years ago in China, the structure of the economic has also changed in recent years, the state-owned enterprises have become an important interest group, As for the issue of the system, especially the construction of its board has become more and more important, and the core issue is "Deepening the reform of state-owned enterprises, Establishing modern enterprise system, Improving corporate governance". There are some problems of the board of the state-owned enterprises, how to establish a coordinated organization through modern management, and make the board to become a efficient organization is more and more important. The literature review of this paper focus on the part of the construction of the board, and there is a compare of the construction of the board between the oversea group and the domestic group. At the same time, we have given some suggestion for the construction of state-owned enterprises. Based on the literature review, the paper focuses on the problem of the China Coal Group. The China Coal Group is a key state-owned enterprises, mainly engaged in coal production, coal chemical, pithead power generation, coal mine construction, coal mining equipment manufacturing and related engineering services. As the group gradually expand the scale, the growing complexity of the organizational structure of the Group, the Group of difficulty of control has improved significantly. Since 2009 the Board of Coal company to carry out the experimental work for the construction of China Coal Group attaches great importance to corporate governance mechanisms, the basic system has been constructed to the norms of modern corporate governance system to promote, but the process used in the past because the state-owned the traditional concept of corporate systems, so the construction of the pilot Coal Board needs to overcome many problems, the paper analyzes the Coal Board is currently building the problems, the issues raised are optimized for these countermeasures. Recommendations and measures of this article highly targeted and maneuverability for the Coal Board and the central enterprise governance, has a certain reference value.
