中文摘要：	摘要 在中国对外直接投资快速发展的同时，如何管理境外投资中的各种风险成为各方共同关注的问题。一个企业迈出国门到海外经营，除了要应对之前在国内经营普遍存在的各种风险，还要面对在境外经营所特有的风险。目前，中国企业在对外投资时，在管理诸如市场风险、流动性风险、操作风险等方面可以借鉴国内经验和技术，迅速提升管理水平。但在管理东道国所特有的政治风险、金融风险、自然风险等方面还存在很大欠缺，主要表现为重视不够、信息不足、经验欠缺、应对无措，常常抱着“摸石头过河，试试看”的想法去应对这些风险，而没有系统地考虑对这些境外投资特有风险的规避和管理措施。 本文围绕中国企业海外投资的发展态势，海外投资项目以及海外投资项目风险的特征,在回顾相关理论文献的基础上，分析了目前海外投资项目以及海外投资项目风险的相关文体，归纳总结了风险管理相关理论、核心概念，剖析了海外投资项目风险的独特性以及相关的影响因素，与国内投资项目风险相比较，重点将海外投资项目的风险因素进行了分类，并逐一分析了形成原因及本质。以此为基点，本文逐步对海外投资项目的风险识别、风险度量、风险应对和风险监控进行了做了一般性阐述，并按照风险管理一般规律对海外投资项目风险从定性分析开始，逐层展开，引入三维模型度量法将所识别风险进一步量化，从而对症下药，从根本上寻找风险应对策略，并进行风险监控，将风险降至最低，保证项目获益。 本文将风险管理理论与风险管理实践相结合，运用文献回顾，归纳总结以及实证研究方法，由浅入深，从定性分析到定量分析进行分析研究，得出了海外投资项目的风险识别与度量，风险应对与监控的分析流程和分析思路，并对目前中国企业对外投资中所存在的重要风险因素做了逐一的分析，提出了应对措施。为中国企业海外投资项目的风险管理的实践活动提供了理论依据。 关键词：海外投资项目，项目风险管理，三维模型度量法， TPCO美国建厂
英文摘要：	Abstract With the rapid development of China foreign direct investment, how to manage various risks in overseas investment has become the common concerned issue. After an enterprise goes abroad for overseas business, it should confront the peculiar risks besides the various risks existing in domestic operation. At present, the risks, such as such as market risk and operational risk, can be managed by the enterprise own experience and relevant technique to improve management level rapidly during the overseas investment, but the management on some peculiar risks from the host country, such as political risk, financial risk, natural risk and so on, still remain many shortcomings, which mainly are lack of attention, lack of information, lack of experience and lack of exact method, they often have a idea, “trying each step before taking it”, to cope with these kind of risks rather than to systematically consider the measures of these investment peculiar risks avoiding and management. Base on the review of relevant theories and literature, this thesis analyzed the current issues on overseas investment and its risks , generalized and summarized relational theory of risk management, core concept, dissected the peculiarity of overseas investment project risks as well as its relevant effect factors around the development trend of Chinese enterprises overseas investment and the characteristics of overseas investment projects and its risks. Compare to domestic investment project risk, this thesis focus on the classification and concluded the causes and essence about effect factors of overseas investment project. In the basis of above mentioned, this thesis gradually made a general description for the risk identification, risk measurement, risk treatment and risk monitoring of the overseas investment project. From qualitative analysis of overseas investment project according to the general rules of risk management, and made the quantification for the identified risks by 3D module measurement to find the suitable solution for these identified risks in order to minimum all the risks and ensure the project get profit. Combining the theory and practice of risk management, this thesis concluded analysis process and analysis methods of risks identification, risks measurement, risks treatment and risks monitoring by literature review, generalization and summarization, and study of practical case from qualitative analysis to quantitative analysis. Furthermore, the major risks existing in the overseas investment project has been analyzed separately and found the treatment solutions. This study can provide the theoretical basis for risk management of China overseas investment project.
