中文摘要：	医药行业是国际性行业，在世界产业体系和经济增长中发挥着重要作用。医药行业也是我国发展最快的行业之一，与国民经济之间有着密切的联系，医药行业也是一个朝阳行业，具有良好的发展前景。医药行业的特点是高投入、高风险与高回报。存在着上述特征的医药行业，公司治理的研究尤为重要，因为高速的发展需要完善的制度与其相匹配，在这种情况下，公司的治理结构、治理模式、治理机制等问题不但关系着医药类上市公司的发展，甚至可能影响国民经济的稳定。此外，国外有很多存续时间长达百年的医药公司，并且形成了稳定的产业链条、治理模式与经济环境，保持着公司的长效发展，与之相比，国内大部分医药类上市公司建立时间短，治理缺陷多，问题突出，分析研究国外医药公司的治理优势，结合国内实际国情，有助于找出促进国内医药类上市公司长效发展的治理模式与机制。 以公司治理理论为基础，总结、分析医药类上市公司的内部治理结构、存在的问题以及这些问题带来的不利影响，进而给医药类上市公司治理问题的分析提供参考，为提升医药类上市公司治理水平提供依据。目前医药行业高速的发展速度需要同样高速提升的治理与管理水平，但是由于我国医药类上市公司成立时间普遍不长，自身治理结构尚不完善，同时，由于我国国情的特殊性，对于国外治理模式并不能照单全收，如何合理地消化吸收国外治理模式，改进完善治理方式，仍然是一个困扰国内学者的问题。不能快速提升医药行业公司治理水平对于未来我国医药产业在全球医药产业中占有一席之地，甚至引领全球医药产业进步的目标不利，也会影响我国经济的发展。 本文基于公司治理理论，对我国医药类上市公司内部治理结构进行总结分析，与国外医药公司内部治理结构进行对比，分析比较国内外医药公司治理模式的优劣，寻找国内医药类上市公司在治理方面可汲取的经验，为医药类上市公司治理改革和完善提供依据，为医药类上市公司内部治理结构优化提供可行性办法。总结国外医药公司治理模式、治理结构与治理机制，分析总结其治理中的优势点，找出国内医药类上市公司在治理模式、结构、机制方面可学习吸收的部分，提出国内医药类上市公司治理改进方案，为未来我国公司治理理论完善，公司治理模式优化，公司治理机制建立，以及创造良好的公司治理外部环境提供依据。
英文摘要：	Pharmaceutical industry has drawn much attention for its globalization, roles in world industrial system and economic development, rapid growth as well as brilliant prospective, which is gifted with the features of high investment, risk and yield and then makes the research on governance necessary for its affiliated companies. So, the issues for the company governance, such as the structure, mode and mechanism, pose a very big influence on the listed medicine company, and even on the national economy. Quite a few medicine companies with long histories more than one hundred years exist in the world, and they gain sustainable development for the stable industry chain, governance mode and economic environment. By contrast, some likely companies in China have some defects in governance resulting from short histories and etc. The medicine companies in China may find reasonable governance mode and mechanism for sustainable development by researching the advantages of foreign ones and their own experience. The company governance theories, internal governance structure, problems and their influences are studied deeply to promote the governance of the listed pharmaceutical companies in China. The rapid progress of the pharmaceutical industry desiderates reasonable governance. In China, the listed medicine companies encounter some problems in governance for the short histories, unreasonable structure and etc, and cannot copy the mode of foreign companies for the different conditions; the above-mentioned may encumber the development of medicine companies and even the national economy. The actuality of the listed medicine company in China is summarized based on the company governance theories, and then compared with those in foreign countries to lay a foundation for the company governance reform and feasible way for framework optimization. The mode, structure and mechanism of medicine companies in foreign countries are discussed in detail, and then a scheme for the listed medicine company is put forward accordingly, which can provide references for theory improvement, mode optimization, mechanism establishment and perfect condition of medicine companies in China.
