中文摘要:在世界经济全球化、扁平化,企业发展集团化的背景下,作为省属国企的云X集团,充分抓住历史机遇,短短7年的发展历程,从无到有、从小到大,实现了快速扩张发展,形成了一个多元化、产融结合的大型投资集团公司。然而,由于其集团总部对下属子公司管理控制效果不明显等因素造成其发展的质量与发展的速度不相匹配,集团整体战略协同效应难以显现。如何对子公司进行有效投资管控,实现母子公司、各业务板块协同发展,成为云X集团目前急需解决的核心问题。笔者认为,云X集团目前的投资主要是通过其下属子公司来实现,其投资管控的核心,主要就是要做好集团总部对于下属子公司的管理控制工作。因此,本论文进行的投资管控研究,主要是指集团母公司对于子公司的管理控制研究。本论文采用规范分析的方法。在对论文研究涉及的相关理论进行综述的基础上,首先对云X集团的基本情况和投资管控现状进行了分析,并利用内控五要素理论找出了投资管控存在问题的原因。同时,就战略对于投资的控制进行了分析,认为战略决定了投资的方向、数量和结构,战略将促使投资更加注重决策质量。在此基础上提出了需以战略为导向进行投资管控体系的构建,需要结合自身发展实际选择适合的投资管控模式和方式。本论文以陈志军教授母子公司管理控制系统框架为基础,结合云X集团实际情况对其投资管控体系进行了构建;重点对其投资管控模式进行了研究,通过相对集权、相对分权和集分权相结合三种模式的对比分析,确立了集分权相结合模式比较适宜目前集团发展实际。最后,从战略分解执行、法人治理、投资决策管理、投资过程控制四个方面提出了适合云X集团的投资管控方式。关键词: 战略; 集团公司; 投资管控; 控制模式; 控制方式 
英文摘要:The Yun X group company is a provincial state-owned enterprise. Under the circumstances of economic globalization and flattened、enterprise collectivize, the Yun X group company had sized the historical opportunities. In the past 7 years, Yun X group company has got into a rapid expended and development which developed from nothing、expended from a small to a large size. Now the Yun X group had already become a diversified large invested company. However, due to its headquarters on the subsidiary management control effect is not obvious caused by factors such as the quality and the development of its development speed does not match, the group's overall strategy to show synergistic effect. How to effectively control the investment of subsidiaries, and achieve the coordinated development of parent - subsidiary company and all business sectors, has becoming the core problem of Yun X group company which to be solved urgently. The author thoughts, the mainly investment of Yun X group company has been realized by its subsidiary. That means the key of the investment management, is optimization the group company’s managing control to subsidiary company. Therefore, the research is focusing on the group company’s managing control to subsidiary company. This thesis uses the method of normative analysis. Based on the summary of the related theory relates to the research, firstly, basic situation and investment control status of cloud X group is analyzed, and using the theory of five elements of internal control to find the reason for investment control problems. At the same time, the strategic for the investment control are analyzed, that strategy determines the quantity and structure of investment, investment direction, and will promote the further investment emphasis on decision quality. Based on this, the thesis put forward the following views that made a strategic direction to build investment management system, choose suitable investment control mode and method by combining its practical conditions. This thesis is based on the parent-subsidiary company management control system of professor Chen Zhijun, constructed the Yun X group investment control system by combining its actual situation; and then the thesis is focus on the investment control mode, through the relative centralization, relative decentralization and centralization and decentralization combined comparative analysis, drawn a conclusion that the model of combining centralization and decentralization is the best mode for the group. Finally, from the strategic execution, corporate governance, investment management, investment process control four aspects to propose the suitable for cloud X group investment control methods.
