| 中文摘要: | 我国民营企业在1978年12月18日召开的党的十一届三中全会后如雨后春笋般逐步发展起来,在经历了全面恢复期、快速发展期、全面繁荣期后,适逢全球金融危机,再加上其自身存在的问题,被迫进入全面调整期,纷纷出现债务危机,导致企业面临着严重的生存发展危机。2007年6月1日起施行的新《中华人民共和国破产法》为陷入债务危机的民营提供了一条司法救济渠道、带来了一缕春风,许多陷入严债务危机的民营企业纷纷向法院申请进入破产重整程序。本文采用理论与实践相结合的方法,以新《中华人民共和国企业破产法》实施以来云南省首家民营企业——昆明聚仁兴橡胶有限责任公司破产重整案为例,通过分析聚仁兴破产重整前公司经营管理情况、破产重整进程中的内外环境与经营管理调整,得出进入破产重整程序的民营企业,不仅要解决企业的债务问题,而且要进行资产重组、企业发展战略调整、企业经营管理模式调整、企业管控模式调整、企业人力资源管理模式调整,这样才能提供破产重整的成功率,才能为企业今后的发展壮大奠定坚实的基础。本文通过对该成功案例的研究,形成民营企业破产重整借鉴经验,旨在我国民营企业在新形势下进行破产重整工作以及奠定重整成功后企业发展的基础提供经验借鉴。 关键词:民营企业;破产重整;资产重组;企业经营管理 | |

In this paper, the theory and practice of the method of combining, with a new "PRC Enterprise Bankruptcy Law" since the implementation of the first private enterprises in Yunnan - Kunming-Yan Hing Rubber Co. bankruptcy reorganization case, for example, by analyzing the poly Renxing bankruptcy reorganization case before the company's management, bankruptcy and reorganization process internal and external environment and management adjusted to arrive into bankruptcy reorganization proceedings of private enterprises, not only to solve the debt problem, but also to carry out the reorganization of assets, enterprise development strategies adjustment, enterprise management mode adjustment, corporate management and control model adjustment, corporate human resources management mode adjustment, so as to provide the success rate of bankruptcy reorganization, in order for the future development of enterprises laid a solid foundation for growth. This paper studies the success stories, the formation of private enterprises learn from experience in bankruptcy reorganization, aimed at China's private enterprises in the new situation work bankruptcy reorganization and restructuring after the success of enterprise development has laid the foundation to provide experience for reference.
