中文摘要：	随着我国改革开放、市场经济体制改革的逐步深化，国内区域工程施工市场逐步对外开放，央企及有实力的地方施工企业不断开拓区域市场，兼并或控股地方施工企业，使施工行业的竞争激烈程度不断加深。施工企业在这样的市场环境下，只有不断改进和完善自己，才能在市场竞争的大潮中取得更大的进步和发展。项目管理是施工企业的效益源泉，作为以工程施工为主业的企业，项目管理水平的高下，不仅是企业核心竞争力的直接体现，更是企业盈利水平的核心要点。因此，重视和加强项目管理，是推动企业外拓市场、内提效益的直接和必要手段。为了在日益激烈的竞争中生存发展，施工企业必须在重视开拓业务市场的同时要苦练内功，转变经营管理理念、加强创新，积极探索适应市场要求的、高效的项目管理机制。　　实行项目虚拟股份制是从内在机制建设上寻求创新和突破，有利于全面激发工程项目部员工的潜力，形成全员参与管理的良好格局；有利于明晰责权利关系和界面，进而规范和提升企业各级的管理工作和水平；有利于营造公平、有序的内部竞争激励机制，促进企业和全体员工的和谐持续发展；有利于降低成本、提升效益，从而加快实现企强民富双赢目标的步伐。 本文以项目管理理论和股份制理论为基础，结合我国施工企业的独特性，详细、透彻分析了青岛市政集团实施项目虚拟股份制管理的实践，客观公正地评价了实践过程中取得的成绩及存在的问题，并提出了改进措施，以期对我国施工企业的发展有一定的借鉴价值。
英文摘要：	As the reform has been being carried out in China，Chinese economy becomes opening to the outside world and the domestic economic reform has been deepened gradually, so that the central enterprises and local powerful construction companies begin to open up regional markets and merger or take control of local construction companies, so there is more competition in the construction industry than before.?In order to achieve?greater progress and development in such market environment, the construction?enterprises have?to continuously improve and perfect?themselves. Project management?is the profit source of construction enterprises. The level of project management?determines the direct embodiment of ?the core-competitiveness of enterprises and the core of?the level of corporate profits. Therefore,?it’s direct?and necessary for construction enterprises to improve the?level of project management. 　　　In order to survive and develop?in the increasingly fierce competition,?the construction enterprises must?improve their management,?strengthen the innovation, and actively explore?effective project management mechanism which must adapt to market?requirements and be effective. 　　　The project management of virtual stock?is to seek?innovation from?enterprise mechanism. It will motivate the potentiality of the project department staff and contribute to the formation of?full participation in the?management and its pattern, to creating a fair internal?competition environment, to?promoting the harmonious development of both enterprises?and employees, and to?reducing costs and improving profit efficiency. 　　　Based on the?theory of project management and?the theory of stock system, this article analyses the practice of project virtual?stock?management of Qingdao Municipal Group and fairly?analyzes the achievements?and problems during practice. The analytical methods and ideas?of?this thesis approves to be practical and significant to?the?business?and?project management.
