| 中文摘要: | 企业集团作为一种现代企业组织形式,能够充分发挥规模经济的优势作用,较好地适应现代化、社会大生产的要求,使企业具备更强的实力面对国际竞争的挑战。因此,从长远来看,将众多分散经营的小规模企业组建成企业集团,是我国经济参与国际竞争、走可持续发展的客观要求。然而,没有规矩不成方圆。现代化的企业组织如果没有现代化的制度去规范、约束,反而会阻碍经济发展,在企业集团中建立规范的现代企业制度,规范企业集团的治理,是企业集团健康发展的前提。本文对企业集团的形成、特征、类型以及组织层次和组建模式等内容作了详细地阐述,同时,结合企业集团的特点,从公司治理的角度对企业集团治理问题进行了探究。 目前,全国煤矿服务型企业(多种经营)数量超过10万家,资产总额达到1000多亿元,从业人员超过800万人。在主辅分离和抓大放小的背景下,煤炭行业服务型企业的发展方向、途径与方法成为社会各界关注的焦点。本文从阳泉煤业集团的实际情况出发,对阳煤集团服务型企业的发展历史、存在的问题进行了较为详细的分析,特别是对管理体制、管理框架、组织结构、治理结构等方面存在的问题进行了剖析,最后借鉴国内同类企业的经验,得出了阳煤集团服务型企业集团化发展的结论。在这个基础上,文章结合理论论述,从组织层次和组织结构两方面对阳煤集团服务型企业组建企业集团的具体过程进行了探索,为阳煤集团服务型企业组建企业集团设置了一个比较可行的思路和框架。 我国的国有企业特别是煤炭企业有自己特殊的组织模式与管理体制,这与西方发达国家的情况有很大的区别,如何将西方先进的管理经验与我国的具体实际结合起来,这是本文研究的重要问题,只有实现了二者的有效结合,做到扬长避短、优势互补才能使理论具有可操作性,对此,文章对我国旧的企业管理体制进行了分析与研究,将现代企业制度中的股东会、董事会与监事会与旧的党委会、工会和职工代表大会的作用进行了对比,找出了他们的相似和不同点,在进行理性的分析之后将它们融合到企业组织结构中,增强企业的治理效能。这也是本文的可能创新之处。 | |
| 英文摘要: | As one of modern corporation organizations, enterprise group can fully exert its advantage in economies of scale. It can preferably adapt itself to the requirements from modernization and social large-scale production, and strengthen the enterprise to face challenges internationally. Hence, it is the objective requirement for the domestic decentralized operating enterprises with small scale to organize the enterprise groups to participate into international competition and keep sustainable development. However, without the modern stipulation and restriction, the modern enterprise structure would counteract economic development on the contrary. So it is the precondition to establish normative modern enterprise system to stipulate enterprise group’s management to ensure it develop in a healthy way. In this thesis, the enterprise group’s come into being, characteristic, type, organization layer and buildup mode are expatiated in detail. At the same time, the topic of enterprise group’s administration is probed into from the aspect of company management combing with characteristic of enterprise group. Presently, there are over 100 thousand of coal mine serving enterprises, i.e. multi-operation companies, with the total assets over 100 billion Yuan and over 800 employees. Under the background of separation between the main and subsidiary industries and concentration on big industries, the developing orientation, approach and method of coal serving enterprises has been the focus by all social circles. The thesis starts form the practicality of Yangquan Coal Industry Group, expatiates the developing history, existing problems of the serving enterprise of Yangquan Coal Industry Group, especially the existing problems in managing system, managing frame, organizing structure and administrative structure are analyzed. At last, using the experience from the same trade for reference, the conclusion of enterprise group development is the choice for the serving enterprises of Yangquan Coal Industry Group. On the above base, the concrete establishment process of enterprise group for the serving enterprises of Yangquan Coal Industry Group is probed into from two aspects of organizing layers and organizing structure combining with theory discussion. A feasible thinking and frame has been set up for the serving enterprises in Yangquan Coal Industry Group to organize an enterprise group. The domestic state owned enterprises, especially the coal enterprises have their own special organizing mode and managing system, which is quiet different from the ones in west advanced counties. How to combine the advanced managing experiences with domestic practicality is the topic mainly studied in this thesis. Efficient combination of the above two will achieve complement each other and make the theory maneuverable. Withal, the domestic old managing system is analyzed and studied; comparison between the committee of shareholders, board of directors and board of supervisors in modern enterprise system and party committee, trade union and congress of trade unions in the old system is carried out in the thesis. After finding out their similarity and differentia, carrying out a rational analysis, the thesis introduces them into the organization structure to boost up the administrative efficiency. This probably is the innovation of the article. | |
