中文摘要：	摘要公司化治理已经成为律师事务所未来发展的重要方向。在这种背景下，厘清各种企业组织模式的特征及其适用范围，参照企业组织模式设计公司化治理在律师事务所的实施方式，进而分析在目前相关法律框架下律师事务所实施公司化治理可能存在的问题，并提出相应的实施对策和路径。研究路径方面，本文分析了各种企业组织模式的特点、优势劣势和适用范围，特别梳理了公司这一模式的特点以及公司治理的相关理论，为律师事务所开展公司化治理提供理论基础，丰富了律师事务所治理的相关理论。针对律师事务所组织模式研究的“盲点”，提出律师事务所公司化治理的基本方略和基本路径。对比国外律师事务所的治理现状，利用所学知识系统回顾本人多年来在律师事务所经营和管理工作中的经验，提出有利于提高律师事务所治理水平的措施，可以更好的指导实际工作，也为类似行业，诸如会计师事务所等，提供借鉴。研究内容上，本文在厘清个人制、合伙制以及公司制等企业组织理论的基础上，着重探讨公司制模式和公司治理的研究成果，从理论层面构建律师事务所公司化治理机制。进而分析我国法律法规尚没有明确允许律师事务所实施公司制的背景下，结合上海众华律师事务所的实际情况，参考国外律师事务所组织模式和管理经验，公司化治理过程中可能出现的问题， 并提出了具有应用价值的对策建议。
英文摘要：	Abstract Currently, the law firm the Corporate Governance has become an important trend for the future development. In this context, this paper clarify the application scope of the various organizational models, as well as the Corporate Governance in the implementation of the law firm, and then analyzes the implementation of the Corporate Governance existing law firms in the relevant laws and regulations, and proposed the corresponding implementation of countermeasures and the path has important theoretical and practical significance. On the research path, this paper analyzes the role of the various corporate organizational model, strengths and weaknesses and the scope of application, especially combing the characteristics of corporate governance, and to provide the theoretical basis for the law firm to carry out the Corporate Governance, rich in a law firm governance related theory. Research organization mode for the law firm of "blind", asked the law firm the basic strategy of the corporate governance and basic path. Governance status of foreign law firms in contrast, use of the knowledge system to review my many years experience in law firm governance, proposed measures help to improve the level of law firm governance, can better guide the actual work, but also for similar industries, such as accounting firms, to provide a reference. The contents of the study, clarify the basis of the individual, partnership, as well as the company made other form of business organization, to explore building LLP company governance mechanism; and combined with the actual situation of the law firm in Shanghai Zhonghua reference to foreign law firms organizational models and management experience, to analyze the problems that may arise in the process of the Corporate Governance and suggestions proposed application value.
