中文摘要:商业银行作为金融行业的主体对我国整体经济的稳定发展发挥着越来越重要的作用。随着经济全球化的不断深入,我国的商业银行面临着巨大的挑战和压力,为了获得强大的竞争优势,追求更大的市场份额,商业银行纷纷开始展开创新业务,以期在激烈的市场竞争中抢占先机。同时,理论界对商业银行的治理和创新研究也越来越重视,商业银行自身的特殊性决定了对于普通企业的研究理论不能简单的直接套用在商业银行上。相对于普通企业来说,商业银行的创新活动将会面临更大的风险,在银行经营和创新的过程中对创新活动的评估更需要注重对风险的监控,因此将商业银行作为独立的群体进行专业的研究是十分重要的。目前学者们对于商业银行治理的研究,更多的是从董事会整体的结构特征出发,研究董事会规模、董事会独立性等特征对银行绩效的影响。董事会作为商业银行的决策机构,董事的个体特征必然会对董事会决策过程产生重要影响,从而影响银行创新决策的效率和质量。因此,本文将从董事会成员个体特征差异性的角度入手,探讨商业银行董事年龄、教育水平、教育专业和职业背景的异质性对银行创新活动的影响。本文选取了我国15家上市银行(剔除信息披露不详细的南京银行),选取2008-2011年的相关信息制成面板数据,实证研究了我国上市银行董事异质性对银行创新的影响。通过实证结果发现:商业银行董事异质性对于银行创新的影响是多样化的,并不是异质性越高越好。商业银行董事年龄异质性对银行创新的影响表现出不一致性,这与对普通企业的研究结论是一致的;董事教育专业异质性和教育水平异质性则对银行创新都表现出显著的负相关关系,商业银行对董事的要求相对较高,大部分董事都具有金融会计管理相关的专业背景,且教育水平相对较高;而商业银行董事职业背景异质性与银行创新呈现显著的正相关关系,职业背景多样化增加了董事成员的职业经验,有利于商业银行创新。 
英文摘要:As the main body of the financial industry, commercial banks are playing increasing roles in the stable development of China's economy. With the development of globalization, commercial banks are facing enormous challenges and pressures. In order to gain strong competitive advantages, commercial banks begin to expand the innovation business to pursuit a greater market share. At the same time, the research scholars also play increasing emphasis on the governance and innovation of commercial banks. Compared with the general corporate, commercial banks have some particularities which decide that some theoretical researches for ordinary enterprises are not directly applicable to commercial banks. Then, it is very important to do professional researches for commercial banks as a separate group. Now there are a lot of researches for our commercial banks from multiple perspectives, but little for the innovation. In recent years, with the understanding of the importance of corporate governance, the researches begin to pay attentions to the relationship between the Board Governance and innovation of commercial banks. More scholars now study the influences which the structural features of the Board make to the innovation of the commercial banks. As a decision-making body of the commercial banks, the individual characteristics of directors inevitably have a major impact on the decision-making process, which decide the efficiency and quality of decision-making. Therefore, this article selects 15 listed banks in share market during the 2008 to the 2011 as samples. We will use the panel data to have an empirical research on the relationship between the heterogeneity of directors and the innovation activities of commercial banks. Through the empirical research, we can see that the age heterogeneity of directors has uncertain relationship with the innovation of the commercial banks. But the profession of education heterogeneity and the level of education heterogeneity have significant negative correlations to the innovation of commercial banks. And the career background heterogeneity of the Board has significantly positive effects to the innovation of commercial banks.
