中文摘要：	摘 要 公司制是现代企业制度的一种重要组织形式，公司法人治理结构是公司制的核心，其中母子公司管控问题是法人治理的重要组成部分。企业集团母子公司管控体系的完善程度直接关系着法人治理的成功与否，目前学术界多以上市公司或国有大型企业为研究主体，而对民营企业集团母子公司管控的研究有所偏弱。本文在此专门探讨和研究我国民营企业集团的母子公司管控问题。 改革开放迄今，我国民营经济身份经历了“有益的补充”到“必要的补充”再到“社会主义市场经济的重要组成部分”的转变过程，民营经济的不断发展壮大，有利于加快国民经济发展和增强国家整体经济实力，并已经成为我国经济的重要组成部分。但是随着民营经济的不断发展壮大，企业治理结构一些问题也逐渐暴露出来，比较集中的就是民营企业集团的法人治理问题，其中母子公司管控的问题尤为突出。 本文在介绍我国民营企业发展现状的基础上，对民营企业集团母子公司管控存在的问题进行深入探讨，对母子公司管控的理论依据进行阐述，包括企业管理控制职能的概念、内涵和对管理控制模式模型的分析。同时，依据民营企业TF集团母子公司管控结构的现状，本着为企业解决问题的原则，在借鉴多家母子公司管控模式的基础上，重点分析TF集团母子公司管控现状，指出TF集团成长期间对管控模式选择的影响以及核心层与紧密子公司管理等问题。建议TF集团加强母子公司管理运行模式设计，比如：加强组织保障，在母子公司控制上采取相对集权的矩阵式组织结构；优化管理控制体系，从多方面考虑设计母子公司管理控制体系；引进竞争机制，解决子公司效率和效益提高的问题；平衡激励与约束，利用好以业绩为基础的薪酬工具。
英文摘要：	Abstract System is an important organizational form of the modern enterprise system， corporate governance structure is the core of the Corporation，the parent company's control structure is an important part of corporate governance. The degree of perfection of the Enterprise Group parent company's control structure directly related to the success of the corporate governance or not，academia，research subjects listed companies or state-owned large enterprises，and private enterprise group parent company's control has been weak. In this specialized exploration and study of private enterprise group parent company's control. Reform and opening date，the identity of China's private economy experienced a "useful supplement" to "necessary complement" to the "socialist market economy an important part of the process of transformation of the private economy has grown in strength，help speed up the National economic development and enhance the country's overall economic strength，and has become an important part of China's economy. However，with the development of the private economy continues to grow， some of the problems of the corporate governance structure is gradually exposed more concentrated corporate governance of private enterprise group，including the parent company's control problem is particularly prominent. This paper introduces the development status quo of private enterprises in China，based on the problems of the mother and of the Group of private enterprise company pipe control conduct in-depth study，elaborated the theoretical basis of the tube control of the parent and subsidiary companies，including enterprise management control functions of the concept，connotation and on management control the analysis of the pattern model. The same time，the principle of for the enterprise to solve the problem of the management and control structure of the status quo based on private enterprise TF mother and the company，based on the draw on a number of mother and son company pipe control mode，focusing on analysis of the current situation of the TF Group mother and son tube control，pointed out that the right for a period of growth of the TF Group management and control model selected as well as the core layer and close management of subsidiaries and other issues. The proposed the TF Group to strengthen the parent-subsidiary management operation mode design，such as: strengthening the organization and support on the control of a parent company and a subsidiary company to take a relatively centralized matrix organizational structure; optimize the management and control system，from design aspects to consider parent-subsidiary management and control system; introduction of competition mechanism solve the problems of the subsidiary to improve efficiency and effectiveness; balanced incentives and constraints，the use of performance-based compensation instruments.
