中文摘要: | 股权激励是在现代企业中广泛使用的一种激励办法,企业为了使公司所有者和经营者的利益和目标一致,通过发行一定数量的股权给管理层及核心技术人员,解决公司治理结构的问题。 随着改革开放,社会主义市场经济的不断建立和发展,我国企业将眼光看向国外,把先进的企业制度和管理经验为自己所用,以提高自身的经营管理水平。其中,股权激励这种长期有效的激励手段,受到国内企业的青睐。时至2010年,我国已经有90家左右上市公司实施股权激励制度。在不断的努力与探索之中,我国企业实施股权激励制度可谓有得有失,股权激励在我国仍处于探索阶段。能否结合企业自身特征,设计出适合长远发展的股权激励方案,决定着股权激励实施的成败,影响着企业的发展。 高科技企业因其多方面的特殊性,尤其是对人力资源的管理方面,在实施股权激励过程中与其他企业存在较大区别。因此高科技企业在设计股权激励方案时,要特别注意核心技术人员积极性的调动。高科技企业实施股权激励,可以通过期权形式的收益分配,将股权激励对象的个人利益与公司的长远利益有机结合,对企业长远发展具有积极作用。 本文选取金发科技股份有限公司股权激励为案例,分析其股权激励方案的实施情况及相应效果,并针对金发科技股份有限公司的股权激励方案提出改进措施。旨在为我国高科技上市企业实行股权激励机制提供参考,防范潜在危险,让股权激励在企业中发挥长期有效的作用。 | |
英文摘要: | Equity incentive is a widely-used incentive means in modern companies. To make interests and goals of the company owners and operators consistent, companies issue a certain amount of equity to the management and key technical personnel to solve problems of modern corporation governance structure. With the reform and opening up, the socialist market economy is establishing and developing. China's enterprises have been improving business performance by learning foreign advanced enterprise systems and management experience. Among them, equity incentive, which is a long-term incentive, is favored by domestic enterprises. By 2010, about 90 listing corporations have implemented equity incentive plans in China. Success and failure coexist in the implementation of equity incentive plan through the process of our exploration. A long-term equity incentive scheme that is designed with enterprise's own characteristics considered determines the effect of implementation and affects the company’s development. High-tech enterprises differ from other companies in the implementation of equity incentive, because they are special in many aspects, especially in human resource management. So, they need to pay attention to motivating core technical personnel when devising equity incentive scheme. They can implement equity incentive in the income distribution form of options. Thus, individual’s personal interests Combine organically with company’s long-term interests, which benefits company’s future development. This paper takes Kingfa Scientific and Technological Co., Ltd. equity incentive as a case to analyze the implementation of the equity incentive plan and the corresponding effect. Then it comes with an improved incentive plan on Kingfa Scientific and Technological Co., Ltd. This thesis aims to provide reference to implementation of equity incentive in listed high-tech enterprises in China, to prevent potential risks and make it have long-term effect in companies. | |
