中文摘要:股权激励是解决所有权与经营权分离带来的信息不对称问题的一种管理方法;而作为股权激励的一种重要的形式,限制性股票激励已在国内外上市公司中广泛应用。作为一种重要的激励机制,限制性股票作用显著。限制性股票可以让经营者以股东的身份做出决策、分享利润、承担风险,更加勤奋地履行他们的职责,为企业的长期发展服务。本文通过对股票期权和限制性股票、员工持股计划的比较,结合南玻集团管理层股权激励的发展现状、存在问题以及可行性的综合分析,最终提出了核心及骨干员工参与激励计划的必要性;以及面对系统风险较大的中国股市,应该如何进一步优化方案,从容应对。对于我国准备实施限制性股票激励的上市公司,尤其是高度分散的上市公司,本研究结果在设计激励方案时有一定的借鉴意义。 
英文摘要:Equity incentive is a kind of management means which solves asymmetric information problem caused by the separation of ownership and management; as an important form of equity incentive, restricted stock incentive has been widely applied in the domestic and overseas listed company. As an important incentive mechanism, the effect of restricted stock is remarkable. Restricted stock can allow the operators, as shareholders, to make decisions, share profits, take risks, perform their duties more diligently and serve for corporate long-term development. By comparing with stock options, restricted stock and ESOP, combining with the equity incentive’s development status, existing problems and feasibility of CSG Holding Co., Ltd. management level, the thesis has raised the necessity of core staff and key staff’s participating in the incentive plan; and has raised how to optimize the proposal and deal with it calmly when confronted with Chinese stock market that has bigger system risk. For the listed companies which would like to implement restrictive stock incentive, especially for highly dispersed listed companies, the research result has certain reference significance for designing incentive scheme.
