中文摘要：	作为国家重点监管的高危行业之一，民用爆炸物品行业（以下简称“民爆行业”）的安全运营关系到国家基础设施建设、人民生命财产安全。在当前产业整合的背景下，民爆行业面临着诸多机遇和挑战。在民爆行业中的民营中小企业，要在实现安全运营的基础上，通过良好的公司治理，理顺企业所有者、董事会、管理层之间的责权利关系，使企业各项决策都能够具有科学性、客观性，达到良性的、安全的生产经营目标，本文正是在这样的理念下，提出、分析问题并提出对策建议。第一部分是绪论部分，主要介绍了本文的研究背景与方法、研究的目的和意义以及研究的思路和全文结构安排。第二部分是理论概述，分别介绍了公司治理理论和产业整合理论的相关内容。第三部分是民爆行业民营中小企业的整合背景分析，本章首先介绍了民爆行业的基本概况，然后介绍行业内的民营中小企业具有的特性、面临整合存在的问题，最后分别针对不同企业特点，概括了当前民爆行业民营中小企业整合的模式。第四部分进入案例，分析民爆行业A公司的治理情况，从企业情况介绍，到企业的现状，然后提出该企业在产业整合背景下存在的具体的治理问题，主要有股东会流于形式、董事会结构不合理、管理层激励没有突出行业特性等。第五部分是本文重点，分别针对上文中提出的治理问题，以行业重组为背景，按照先进行分析，再提出建议的模式，对案例A公司的内部治理提出五方面建议：一是树立正确的公司治理理念，二是调整董事会的功能，三是加强内控制度建设，四是改进投票和表决制度，五是完善管理层治理；然后本文还对民爆行业提出了行业的治理建议，一是完善民爆行业的安全检查标准，二是加强民爆行业的保险制度建设，以更好地帮助企业应对产业整合的政策要求。在应对产业整合政策、行业内调整日新月异的环境下，要确保民爆企业安全，应首先注重对该行业内的“弱势群体”的管理，而这些民爆行业民营中小企业要加强管理，必须从源头上开始，首先做好公司治理工作，才能确保公司日常的安全管理到位，从而实现行业安全、健康发展。
