中文摘要：	大陆家族企业在2012年进入了代际传承的元年，大量诞生于改革开放时期的家族企业开始面临交接班的问题。鉴于目前对大陆家族企业治理研究的起步较晚，尤其对于家族企业传承问题，目前的研究和理论基础仍然处于探索之中。本文以家族企业代际传承为研究对象，从相关的家族企业预测模型以及公司治理理论出发，借鉴其他地区家族企业传承的经验，总结出西方发达国家和海外华人家族企业成功的传承模式和其适用条件。本文拟从大陆家族企业传承的典型案例出发，根据改进的家族企业最佳治理模型，预测未来可行的传承模式。并采用事件研究方法，选取具有代表性的大陆家族企业传承企业样本，对其传承前后的企业价值的变化进行考察，并分析其原因，借以考察不同传承路径之下，所产生的不同效果。并进一步结合大陆家族企业传承的实践，考察大陆家族企业传承的不同路径，为科学预测大陆家族企业传承模式和选择有效路径，提出一些可行的建议。本文首先阐述了选题的背景和研究意义、研究方法和内容以及本文的结构。理论综述部分概括了目前国内外对于家族企业传承研究的相关理论，海外家族企业以及华人家族企业传承的一些成功经验，从中概括出家族企业传承的典型特点。随后提出了大陆家族企业传承模式的预测模型，对影响大陆家族企业传承的路障因素和特殊资产部分进行了分类和分析。通过对大陆家族企业传承的现状进行总结概括，对不同传承类型的企业进行分类，并通过事件研究方法对不同传承路径下，对企业价值所产生的的超额回报率进行计算，从而分析传承路径的不同对企业价值的影响。最后提出大陆家族企业传承中可以采取的一般对策，并对未来这一研究领域的发展做出展望。本文的创新点是，从福布斯报告入手，对不同传承路径的企业的绩效进行了对比。另一方面，给大陆家族企业目前的传承方式进行分类，运用事件研究方法对不同类别的传承效果进行评价，从量化的角度对大陆家族企业传承的实际效果进行了衡量。从中寻找影响企业传承的因素，从制度框架、治理方式和企业家价值传递三个方面为完善大陆家族企业传承体系提供有益的参考。
英文摘要：	Family enterprises in the mainland have entered the first year in 2012. Most family businesses born in the early period of Chinese economic reform begin to face the problem of succession. Due to the lack of study on family business succession problems, the current research and the theoretical basis is still under exploration. In this paper, it selects the family business intergenerational succession as the research object, tries to build the prediction model for the mainland family enterprises. And it also uses the corporate governance theory, refer to the experience of the family business heritage of other countries and regions, summed up the successful models and their application conditions. In this paper, it discusses some typical cases of the the mainland family business succession, according to the the improved family business governance model to predict possible succession model the in the future. It selects some representative samples of the mainland family enterprises, uses the event study method ,to calculate the change of its corporate value before and after the succession event ,and analyzes its causes, in order to study the different succession paths. It also gives some advices in the article to help to enlarge the discussion of the succession of the mainland family business. This paper first describes the background and significance of the topics, research methods, the content and structure of this article. The section of review of the literature summarizes the current theory, domestic and foreign study of family business succession, and the overseas family business as well as the tradition of ethnic Chinese family enterprises successful experience from which summarizes the typical characteristics of the family business succession. Then it builds the succession pattern of the mainland family business prediction model, raise the roadblocks factors and the special assets which affect the succession of the family business. By summary of the different path of the mainland family business succession, to classify the types of succession. Through the event study methodology, to calculate the Cumulative abnormal return(CAR), to reflect the change trend of enterprise value. Finally, we discuss the general measures that can be taken in mainland family business succession, and make prospects of future developments in this field. The innovation of this paper is to start from the Forbes family business report of mainland, comparing the performance of enterprises in different succession paths. On the other hand, it tries to classify the mainland family business of the succession, and uses the event study method to evaluate the effect of different types of succession. To look for factors that affect mainland family business succession, find some methods from the institutional framework, corporate governance and entrepreneur value. It tries to provide a useful reference for the complementary the mainland family business heritage system.
