中文摘要：	对于最近几年来中国国内市场上企业并购行为来说，无论从数量上还是并购金额上，都是越来越多、越来越大，相应的对于企业并购中出现的各种风险防范和管理的阐述文献，也越来越多及越来越细化。本文在参阅和借鉴诸多理论研究文献的基础上，专门针对企业并购过程中存在的风险特别是法律风险进行了系统且全面的分析研究，并对企业并购过程中面临的各种风险进行深层次分析，以探索和提出企业并购中风险的有效防范和管理，以期降低减少各种可能出现的风险，节约并购成本并提高企业并购的成功率。笔者更期待本文能够给予实务操作中的行内人士提供些许启示，提醒企业管理层对并购风险加以识别，警惕并购过程中出现的各种风险，设计出最佳并购方案和流程，最大程度的提高并购成功率和并购正效应。论文主要内容：第一章为导论，阐述论文的选题背景、目的及选题意义；对国内外理论研究文献进行简单表述，以方便接下来的理论和实务探讨。第二章为企业并购风险分析。本章作为论文阐释的理论基础，内容包括企业并购中的风险类型及表现方式。第三章是企业并购风险识别和防范部分，主要阐述企业并购中的法律风险类型及防范方式。第四章是企业并购中法律风险的规避及管理部分，主要阐述企业并购中风险规避及管理方式。第五章是结合实例，系统的分析和总结企业并购中的风险类型、规避和管理方式。从而，从并购实践角度对企业并购风险获取全面认识，以便采取更具针对性的防范和控制措施。
英文摘要：	With the development of the internal market economy in China, the behavior of the merger & acquisition has playing a more and more important role on the stage of the internal market economy. And then large number of methods and discussion are developed and studied. Based on forefather educators' theory, China’s the relevant policies or regulations and actual M&A cases, the article study the theory and types of legal risk in M&A from a comprehensive, systemic, open and multi-dimensional perspective and in a unified analysis framework, and put forward a series of summarization on how to identify and prevent various forms of legal risks in M&A. This paper includes six parts: part one is to introduce the selected topic background, the significance, the objective and frame of this article; Part two is to define the legal risks in M&A; Part three is to analyze the types and the forms on legal risks in M&A; Part four is to avoid and control the legal risks in M&A; Part five is to summarize and analyze the legal risks in M&A Through a practical case. Part six is the conclusion to the paper.
