中文摘要：	在当今经济社会中，创业企业的大量涌现已成为近几年来经济发展的重要特征。根据一般观察，新创企业特别是高技术领域中，有相当一部份企业源于其他大企业的衍生，其中以美国硅谷高技术企业的衍生现象最为突出。与蓬勃发展的企业衍生活动实践相比，理论研究显得相对滞后。尤其是国内的研究远远跟不上企业衍生活动持续涌现的步伐。而衍生企业本身作为创业企业的一种形式，对经济和社会发展有着极为重要的作用。同时他又具有特殊性，对大企业先进的技术和管理方法有着一定的传承性，具有更高的成功率和影响力。所以无论从理论角度还是实践角度，对衍生企业的研究都是很有意义的。 本文基于这样的背景，对衍生企业的创生条件进行研究。在文章的第一部分，作者首先讲述了企业衍生的基本问题，对企业衍生的涵义进行了界定，并说明了衍生企业的出现对经济发展等所起的积极作用以及存在的问题。 然后，本文从研究母体企业入手，分别从其资源特征、组织层面和个人层面等三个角度来分析企业内部促使或者阻碍企业衍生的条件。这样母体企业可以根据自身的战略和研究结论来调整企业内部组织机制和环境等方面的问题，从而根据自身企业发展的需要来阻碍或者促进企业衍生。 同时，作者也关注了母体企业外部的影响因素，更多的从创业环境中搜寻影响衍生企业创生的一般条件。其研究与一般创业非常相似，但是衍生企业从母体企业脱离的现实又决定了他们在获取信息资源和资本资源的渠道等方面具有一定的特殊性。 最后，作者将对这些影响因素进行归类总结。罗列并分析了衍生企业创生的一般性条件，尤其是那些关键因素。然后剖析了这些条件与企业衍生行为的作用关系，并指出具体的影响机制。最后针对这些问题，作者提出应对策略。一方面母体企业可以根据其战略要求和自身发展采取措施，有效地促成和防止企业衍生；另一方面，本研究可以帮助创业者更好的利用资源和机会，取得更多创业收益，从而繁荣经济。
英文摘要：	Nowadays in the modern society, there are a lot of entrepreneurial companies established, which becomes an important characteristic of the economic. According to the usual investigation, among the new companies, a few of them are the spin-off enterprises from large companies, especially in the high-technology field. For example, the silicon valley in America. But compare to development of the spin-off, the theory research about it is low-speeded especially in our country. The spin-off as a kind of entrepreneurship, it works a lot in the development of the ecnomic and sociaty. At the same time, it has the speciality, it inherit the advanced technology and management systerm of the mather companies in some degreee, more of them succeed and influence the other new entreprises. So no matter from the theory or the practice point of view, the spin-off research means a lot. In this background, the thesis studies the creation conditions of spin-off enterprise. In the first part of the article, the author talks about the basic problems of the spin-off enterprise, give the spin-off an exact definition, and talks more about the active effect of the spin-off enterprise to the economic development, also some positive questions. Then, the author pays attention to the mother corporate, analyzes the creation conditions of spin-off from the three different views. They are the resource characteristic, the lay of organization and the lay of individual. In this point, the mother corporate can adjust its internal environment and mechanism according to its own strategy and the conclusion of this thesis. At the same time, the author pays attention to the outside environment of the mother corporate. The thesis searches more factors that influence the creation of spin-off enterprise. Our research is similar to the entrepreneurship study, but because of the enterprise spin out from the large corporate, this feature means the spin-off enterprise will have much better information resource, capital resource and so on. At last, the author put all of the influence factors together and also classifies them. Based on this analysis of the different conditions that influence the creation of spin-off enterprise, the research gets the key conditions out of them. Then the author figures out how the conditions influence the creation. At last the measures which point to these problems are come up. On one hand, the mother corporate can speed spin-off up or down according to its strategy and development. On the other hand, the entrepreneurs can make use of the resource and chances much better, then they can get more harvest, and the economy will be much more prosperous.
