| 中文摘要: | 商业银行是一个国家金融体系中最重要的组成部分之一,在经济发展过程中发挥着动员资金、配置资金及分散风险的重要职能。处于不同的经济发展阶段,国家的要素禀赋、产业结构、企业规模和风险特征是不同的,相应地,与之配套的最优的金融结构、金融市场特征也不同。商业银行需要根据不同时期实体经济和金融市场的发展趋势,来优化自身的公司治理模式,从而发挥对实体经济的稳定和促进作用,并使自身得到健康发展。我国商业银行自1949年新中国成立至今,历经多个阶段的演化、变迁,到目前已逐步形成了现代化的商业银行体系,并成为中国金融体系中举足轻重的组成部分,为实体经济,特别是,改革开放以来社会经济的快速发展起到了巨大的推动作用。伴随着实体经济的发展,商业银行自身的公司治理体系也在不断完善,在有效控制风险的前提下,资产规模、盈利水平不断提高。 根据国家“十二五”发展规划纲要,“十二五”时期我国将进一步深化改革开放、加快转变经济发展方式、调整经济结构,金融领域将相应地推动利率市场化改革、建立多层次的资本市场进而提高直接融资的占比、网络金融也将进一步发展,这些经济、金融形势的重大变化将使商业银行面临更加复杂的经营环境,市场竞争日趋激烈、竞争格局发生改变。股份制商业银行是商业银行中的重要组成部分,尽管资产规模和盈利总水平还与国有商业银行有很大差距,但是其成长性好、资产质量高。新的经济金融形势对股份制银行来说既是挑战也是机遇。 本文尝试根据公司治理学的基本原理,在回顾我国商业银行公司治理历程的基础上,分析中国经济转型时期,金融市场改革的趋势,探寻股份制商业银行公司治理中存在的问题,并提出适应未来金融改革和实体经济发展的优化建议,并认为,如果股份制商业银行能够抓住机遇,将有可能在未来的市场竞争中获得优势地位。 | |
| 英文摘要: | Commercial Bank is one of the most important part of a country's financial system,taking important role in the economic development process to mobilize financial resources, playing important functions of allocating and diversifing of risk. At different stages of economic development, the national factor endowment, features of industrial structure, firm size and risk are different. Accordingly, ancillary optimal financial structure, financial market characteristics are also different. Commercial banks should optimize its own model of corporate governance according to the different periods of the development of the real economy and financial market trends. In that way, they can help to promote the stability of the real economy and make their own healthy development. Commercial banks in China experienced several stages of evolution, change since the establishment of New China in 1949. Up till now, the modern commercial banking system has been gradually formed, and becomes an important part of China's financial system, playing an important role in promoting the real economy, and especially since the reform and opening up, the rapid development of the social economy. Along with the development of the real economy, the commercial banks' own corporate governance system is constantly being improved. Under the effective risk control, asset size, profitability has been improved continuously. According to the national ?12th Five-Year Development Plan?, during the 12th Five-Year period reform and opening-up will be further deepened. The transformation of economic development mode and adjustment of the economic structure will be accelerated. The financial sector will promote market-oriented interest rate reform and the establishment of a multi-level capital market, thus the proportion of direct financing will be increased, and network finance will be further developed. These significant changes in the economic and financial situation will make commercial banks face a more complex business environment, an increasingly competitive market, and the changes of competitive landscape. The joint-stock commercial bank is an important part of the commercial banks, Although asset size and profitability of the overall level still have a big gap with the state-owned commercial banks, its growth is excellent with the highest asset quality. The new economic and financial situation is both a challenge and an opportunity for the joint-stock banks. This paper attempts to analyze the trend of financial market reform during the period of economic restructuring in China, according to the basic principles of corporate governance, and on the basis of a review of China's commercial banks corporate governance development course, explore the problems existing in the joint-stock commercial bank corporate governance and put forward the optimization suggestions to adapt to the future of financial reform and the real economy development. If the joint-stock commercial banks can seize the opportunity, they will possibly obtain a dominant position in the future market competition. | |
