中文摘要：	民营企业已成为我国经济快速发展的重要动力，已经成为市场经济的不可缺少的重要力量，民营企业快速发展的同时，也面临着严峻挑战和潜在风险。相当多的民营企业从创立、成长、消亡的历程很短暂，相当数量的民营企业在经过快速发展后，在一定的规模徘徊不前，遭遇了发展瓶颈（俗称“亿元企业现象”）。 分析其原因，民营企业股权结构及其治理不能随着企业的发展以及内外环境的变化而变化，股权治理的滞后阻碍了企业的进一步快速发展。所以研究民营企业的股权结构，对优化民营企业的公司治理和地方经济的持续稳定发展具有深刻的现实意义。本文以苏州A公司创立、起步、发展过程的股权结构变化为例，剖析了苏州A公司各阶段出现的相关问题，为非上市民营企业公司治理研究特别是公司股权治理的研究提供了一个真实案例。本文重点研究了非上市民营企业各生命周期股权结构及其治理存在的主要问题，与苏州A公司在各生命周期遇到具体问题相对照；如何改善非上市民营企业股权结构及其治理问题，阐述了苏州A公司在各阶段是如何改善企业股权结构及治理问题的；同时重点提出了目前苏州A公司临的股权结构及其治理问题，如优化股权结构、增加关键员工持股范围、进一步决策机制、完善公司的监督机制等。重点对民营企业的股权激励等做了一些研究，同时考虑了企业发展过程中可能遇到的一些问题，并对企业如何优化股权治理以及完善公司治理提出了一些建议。本文的研究能够为受股权治理及公司治理问题困扰的非上市民营企业提供一定的思考。
英文摘要：	The private enterprise is a powerful force in market-oriented economy of our country, it has become the main power to promote the sustained and rapid development of economy. However, private enterprises face severe challenges and potential risks, many private enterprises quickly finish the process from prosperity to decline and even die just as a flash in the pan. Also some private enterprises wander in a certain scale after a short rapid development, meeting with the development bottleneck (commonly known as the "one hundred million Yuan enterprise phenomenon"). The main reason is that the private enterprise’s ownership structure and its governance can't keep up with the enterprise's development as well as change of the internal and external environment, the lag of governance of shareholder’s rights hinders enterprise rapid development further. It has profound realistic significance to research the ownership structure of private enterprise for the optimization of corporate governance and the steady and sustained development of the provincial economy. This article analyses the related problems of different stages of A company in Suzhou city including the establishment, start, and development process of this company, providing a real case for research of the non-listed company governance especially company ownership structure research. This paper focuses on the unlisted private enterprises lifecycle shareholding structure and its governance main problems encountered specific problems contrast with the Suzhou A company in all life cycle; non-listed private enterprises on how to improve the equity structure and governance issues, elaborated Suzhou a further decision-making mechanism in each stage is how to improve the corporate ownership structure and governance issues; highlighted Suzhou Company A Pro shareholding structure and governance issues, such as the optimization of the ownership structure, increase key employees holdings range,and perfect the supervision mechanism. and the private enterprise's stock incentive, at the same time considering some possible problems during the development of the private enterprises, and providing some suggestions to optimize the governance of ownership and perfect company governance. This article is to provide some thinking for the non-listed private enterprises which are still suffering from ownership structure and corporate governance problems.
