| 中文摘要: | 随着社会,经济,科技,文化和信息的迅猛发展,公司面临的生存发展环境越来越复杂,越来越难以控制掌握。公司对于未来发展方向的确定显得愈加困难和重要, 而战略正体现了公司未来的发展方向, 是决定公司生存和发展的关键因素之一。因此, 必须在战略层面上关注公司内部各要素之间的协作, 以及内部资源与外部资源之间的统筹与协调, 才能更好地适应商业环境的各种变化, 规避风险, 抓住机遇。 20世纪60年代, 安索夫 (H. I. Ansoff) 在《公司战略》一书中首次提出协同概念, 分析了战略协同将企业多元化业务有机联系的原理, 从而使企业可以更有效地利用现有的资源和优势实现战略目标。安索夫提出的战略协同是相对于各独立的组成部分进行简单的加总而形成的业务表现而言, 群体业务的业绩表现要大于简单加总的表现。自安索夫提出这一概念以来, 协同理念一直是西方大型企业在制定多元化发展战略、策划企业并购与重组成立跨国联盟和建立合资企业时所遵循的一个最重要的基本原则。约翰克兰集团在中国拥有三家公司,他们分别是约翰克兰(天津)有限公司,约翰克兰鼎名密封有限公司和约翰克兰上海贸易公司。我在2008年加入约翰克兰公司初期,高管团队便面临这样一个大的挑战,那便是将这三家公司整合为约翰克兰科技(天津)有限公司,完成新工厂厂房建设,各种设备顺利搬迁,人员雇佣关系签订和横向整合各个核心部门及其业务,SAP系统实施,推进持续改进文化等。约翰克兰(天津)有限公司主要生产泵用密封及其辅助控制系统,有210多名员工。约翰克兰鼎名密封有限公司主要生产干气密封和控制系统,有100名员工,约翰克兰上海公司主要以项目营销为主,与亚太和中国的OEM和EPC公司合作,例如新加坡和韩国的EPC等,实现项目营销,争取并扩大市场份额。约翰克兰集团决定约翰克兰中国公司横向整合,在中国整合建立统一的企业文化,体制机制,规范习惯。在此基础上,形成生产关联整合,供应链关联整合,技术研发关联整合和营销关联整合,使人才共享,产能共享,产品互补,企业文化统一,从而充分发挥整体优势,提供整体解决方案,在竞争中处于有利地位。 论文首先介绍集团内中国三家公司的背景,产品,市场,员工,文化等。然后对波特的横向整合战略理论作了回顾,重点是如何在整合中抓住关键环节,克服困难,制定战略,融合不同的企业文化,建立健全体制机制,规范工作习惯,激励管理层和员工,解决在整合中产生的问题,减少协调成本,使企业真正融合并获得竞争优势,从而获利。然后开始阐述论文的研究内容和研究方法思考。第二章从生产及质量,供应链,技术研发和市场营销等方面展开介绍公司横向整合现状介绍和深层次动因剖析,包括体制机制,传统习惯和企业文化三方面。然后我分享了约翰克兰中国公司横向整合的内容与实施,从目标和主题切入,阐述了核心部门间的横向整合内容,最后从实施机制挖掘,包含整合机制,传统习惯的相互影响到最高层次的企业文化整合与再造。公司从某种程度上说,管理的本质就是协调。公司内部是由各种不同的活动构成的。协同( Synergy)是使系统内部各要素向有序转化的一种形式, 有序则表现了系统形成结构的稳定性程度。 企业的协同关联有多种:生产关联、营销关联、技术开发关联、基础设施关联等等。这种种关联带来的对企业各项活动的整合,如果选择适当,有效推进,则将换发出崭新的活力。回顾整个整合过程,面临许多挑战和问题,也收获许多经验和技能,收获了许多整合实战教训和系统思路和方法,当看到了企业新的成长和蜕变,迎来了最佳发展阶段,内心充满激动和信心,也希望这篇论文能给面临企业整合的团队一些参考。 | |
| 英文摘要: | It is proposed that corporate strategy synergy mechanism is the operation mechanism and work pattern making each subsystem o f a corporate develop synergistically and dominated by strategy. There are 3 corporate in John Crane China named John Crane (Tianjin) Co. ltd, John Crane Timing Seals Co. ltd as well as John Crane Shang Hai Sales Company. We have engaged with John Crane from 2008 and we face a big challenge to integrate these 3 companies to one John Crane Technology (Tianjin) Co. ltd. The objective action include new plant building setup, smooth transferring, new employment contract sign, SAP go alive as well as most critical company culture merge, principle and incentive plan integration and integration of production team, supply chain, engineering and sales team. John Crane (Tianjin) Co mainly produces pump wet seals and their accessory control system. There is 210 HC in John Crane (Tianjin) Co. John Crane Timing mainly produces Gas seals and Gas panel and has 100HC. John Crane SH main business is project Sales to OEM and EPC of China and Asia Pacific. The top management of John Crane global decided to push us to achieve core competitive strength through fundamental culture, traditional habits and company procedure and incentive plan integration as well as hardware production, supply chain, engineering and sales team integration. I introduced these 3 companies’ background, products, market, employees as well as culture. Then we review Porter broad wise integration theory. During the integration process, we spend resource to overcome the issue, catch the core talent and business problem, integrate 3 companies’ culture, and solve the problems to reduce the communication and integration cost to achieve better ROS. In section2, I have introduced current status of production, quality, supply chain, engineering as well as Sales. Then we analyzed the deep reason to merge the company procedure and system process, traditional habits and core company culture. In a word, the core factor of company integration is culture integration to buildup same value. In section3, I introduced the key approach and content during integration process implementation. Then I moved to section4 to analyze the fundamental base and mechanism of Company integration. During the whole integration process, Even facing many challenge and problems, we enjoyed this process to eye the company to develop business and warmly face the new prospective. We hope this thesis could provide reference to the team who face company integration. | |
