中文摘要:泰达国际集团是天津市委、市政府批准成立的地方性金融控股集团。由市政府授权,承担市属国有金融资产出资人职责,开展金融业综合经营试验。泰达国际集团自成立以来,在金融控股集团架构的搭建上取得了很大的成绩,现已控股或参股六家地方金融企业和五家非金融企业,成为全牌照的地方性金融控股集团。但由于未能实现对下属金融企业的科学治理和有效管控,泰达国际集团尚未成为真正规范的金融控股集团。泰达国际集团要打造真正规范的金融控股集团,需要突破公司治理和管理控制的“瓶颈”。本文研究泰达国际集团的公司治理和管理控制问题,目的在于为泰达国际集团的发展提供意见和建议。本文分为六章:第一章为绪论,介绍了研究的背景和意义、研究内容和方法以及本文的结构安排;第二章为理论回顾,回顾了公司治理理论、母子公司管理控制理论和金融控股相关理论;第三章为泰达国际集团公司治理和管理控制现状及问题,描述了泰达国际集团的公司治理和管理控制现状,提出了泰达国际集团在公司治理和管理控制方面的问题;第四章为泰达国际集团公司治理改进建议,提出了强化公司治理机制、完善董事会结构、优化选择子公司治理模式、推动金融控股立法等建议;第五章为泰达国际集团管理控制改进建议,提出了健全管理控制实施机构、完善管理控制手段等建议并提出了基于公司治理和管理控制改善的泰达国际集团组织结构;第六章为总结,总结了泰达国际集团公司治理和管理控制改进建议。在子公司治理模式的选择上,本文提出了子公司治理模式要与管理控制模式相匹配的观点;在子公司管理控制模式的选择上,本文用“持股比例”和“战略重要性”两个维度构建了“管理控制模式选择模型”,解决了子公司管理控制模式的选择问题。这是本文的两个创新点。本文提出的建议,仅限于改善泰达国际集团的公司治理和管理控制。对于促进下属金融企业的协同,需要研究更有效的公司治理模式和管理控制手段。这是下一步研究的方向。 
英文摘要:TEDA Int Group is a local financial holding group which is set up by Tianjin municipal Party Committee and government. The group is authorized to responsive to state-owned financial asset, carrying on comprehensive operation test. Since the group built, the structure of financial holding group got achievement and became a local financial holding group with full license, holding and participating six local financial companies and 5 non-financial companies respectively. However, the group management falls short of the specification because of the lack of the scientific and efficient management in subordinate companies. Therefore, the group needs to improve in the corporate governance and control. This paper, based on the above discussion, analyzes the governance and control of TEDA Int Group and presents the suggestions for the corporate development. This paper includes six chapters. The chapter one is an introduction, presenting the background and value, research content, methodology, and structure of the paper; the chapter two is a literature review, including the following theories: the theory of corporate governance, management and control, and financial holding; the chapter three discusses problems of TEDA Int Group corporate governance and control, presenting the current TEDA Int Group management development and shortcomings; the chapter four provides a series of suggestions for TEDA Int Group corporate governance, such as strengthening corporate governance mechanics, improving board structures, upgrading subsidiaries governance models, promoting financial holding systems; the chapter five presents suggestions for TEDA Int Group management and control, including promoting function of management control, and improving management control tools, and setting up a new group organizational structure based on the improvement of corporate governance and management control; the chapter six provides a conclusion, integrating suggestions of TEDA Int Group corporate governance and management control. In the model choice of corporate governance, this paper presents the viewpoint that subsidiaries governance model should be consistent with management control model. In the model choice of management control, the author set up a choice model of management control based on two dimensions including shareholding ratio and strategic significance, resolving the related problems, which are two innovation points. Finally, the suggestions provided by this paper are focused on TEDA Int Group corporate governance and management control. The furthering studies should be considered, which is aimed at cooperation among affiliated enterprises.
