中文摘要:企业并购是运用并购方各自的优势资源,将不同的企业联合在一起,实现整合后企业资源的最有配置,进而提高效益。并购、重组已经成为当今市场竞争环境中使企业资源得到最优配置、实现快速扩张的一个重要途径。但是,并购完成后,并不代表并购活动的结束,也并不代表并购后可以达到既定的目标,很多原因都会致使并购活动的失败,而企业文化没有得到很好的整合就是其中一个十分重要的原因。经过近60年的发展历程,天津水泥工业设计研究院有限公司(以下简称“天津水泥院”、“公司”)已经成为水泥建材行业里国内领先国际先进的综合性工程公司。2005年以后,公司先后并入中材集团、中材国际,并于2010年与中材建设合并重组。整合后的天津水泥院能否保持原有的优势,弥补不足,真正做到强强联合,实现1+1>2的综合效应,有效整合企业文化的作用是不能忽视的。本文从企业重组、企业文化的定义和内涵入手,首先对企业文化的相关概念进行了回顾,然后简要介绍了重组的背景,通过德尼森文化特质模型和企业文化四层次理论分析天津水泥院和中材建设的文化现状及存在的问题,根据其文化特质和存在的问题,提出了公司企业文化建设的总体原则、基本过程和主要内容,最后分别从核心价值观的建立、企业文化落地、企业文化测评、文化改进和营造企业文化氛围四个方面阐述企业文化建设的措施和方法。在结论中,强调企业文化对企业,特别是重组企业的发展至关重要;企业文化理论体系要通过科学测评当前企业文化体系后提出;企业文化体系的建立要以企业理念体系为核心等内容。 
英文摘要:Enterprise merger and acquisition (M&A) is essentially to combine different enterprises together, to use all the advantages of resources, to realize the optimization and integration after the merger of enterprises, and to improve the production benefits. In today's competition in the market merger, reorganization already became an important way for enterprises to expand rapidly, to optimize the resource structure of enterprise. But enterprises’ finishing the M & A does not mean that the M & A activity ends, that the M & A can achieve the established goals, for many reasons will lead to failure of M & A, and one important reasons is that the merger of the enterprises’ culture has not been well-integrated. After nearly 60 years’ development, TCDRI has become the domestic leading and international advanced comprehensive engineering company in the field of cement and building materials. Since 2005, TCDRI has incorporated into the Sinoma Group, Sinoma International, and in 2010 merged into and reorganized with the Sinoma Construction. After integration, whether the TCDRI can maintain its original advantages, make up for inadequacies, truly achieve the combination of the powerful groups, realize 1+1>2 comprehensive effect depends on effective integration of enterprise culture. This thesis takes the enterprise restructuring, enterprise culture 's definition and its connotation as the beginning, firstly reviews the relative concepts of enterprise culture, and then briefly introduces the reorganization background, during which the TCDRI’s and CBMI’s current culture situation and the existing problems through the Denison Culture Model and Enterprise Culture Four-hierarchy, according to which, the companies’ culture construction’s general principles, its basic process and main content are put forward. At last, the article elaborates the measure and the method of enterprise culture construction from four aspects, that is, core values establishment, enterprise culture cultivation, enterprise culture evaluation, and enterprise culture improvement. In conclusion, culture is critically important to enterprise, especially to the development of restructured enterprises; enterprise culture theory system should be put forward after scientific evaluation of current enterprise culture system; enterprise culture system should take enterprises’ business philosophy as its core content.
