| 中文摘要: | 近年来,世界性的金融危机频繁爆发,银行破产现象纷纷涌现。咎其原因,是银行的公司治理存在缺陷,不能有效的控制风险。风险的量的累计,最终导致质的变化,从而一发不可收拾,导致银行的破产,金融市场的崩盘。商业银行作为资金的筹集与创造信用的企业,在金融体系中发挥着重要的核心作用。对于各类的社会经济活动也有着深远的影响。因此,商业银行的经营不仅关系到自身的利益,也有着广泛的社会影响。它的不稳定因素,会造成经济社会的隐形威胁,为金融市场的发展埋下潜在隐患。因此,商业银行的公司治理近年来越来越受到各方的关注。随着我国商业银行改革的逐步深入,公司治理结构日益引起业界的关注。实际上,公司治理问题的产生是与现代公司制度的发展紧密联系在一起的。与国有企业相似,影响中国商业银行经营管理效率各种问题的根本症结在于产权和治理结构存在缺陷。因此,公司治理结构改革是商业银行股份制改革中最重要的环节,其优劣成败直接决定了银行的市场竞争力。从某种意义上说,能否从根本上完善健全商业银行的公司治理结构、真正转换经营机制成为决定改革成败最为关键的一步。历史和实践都己经证明,建立与国际接轨的现代商业银行制度和重塑公司治理结构,不仅是我国商业银行应对形势变化、提升国际竞争力的现实选择,更是从根本上解决商业银行现存问题实现可持续发展的必由途径。 基于此,本文在综述国内外相关研究的基础上,重点进行了以下几个方面的研究工作: 首先,阐述公司治理结构的涵义,通过概述两权分离理论、委托代理理论、不完全契约理论以及利益相关者理论来说明公司治理的理论渊源。并给出本文公司治理的定义。接着,研究了英美、德日两类商业银行的治理结构,尤其是对商业银行的股权结构与股东性质、董事会规模与独立性、薪酬激励模式三方面进行考察,找出二者间的差异和共性,总结出对我国有益的结论。结合TB银行公司治理的实际,对TB银行目前的产权结构状况、公司治理结构人员组成、制衡机制、激励机制、监督约束机制进行了深入的分析研究,得出TB银行在公司治理结构上存在的不足。最后,对TB银行公司治理结构现状和存在的问题调研、分析、总结的基础上,探讨了进一步完善TB银行公司治理结构的建议。 | |
