中文摘要: | 随着中国经济的快速增长,中国集装箱运输得到了快速发展。2000年以来,中国集装箱码头进入了建设、改造的快车道,经过十几年的发展,中国的集装箱码头拥有了先进的设备、设施。然而,当今的集装箱码头竞争力不仅仅局限于码头的规模、设备设施等硬环境,优化公司治理结构、加强公司内部管理、降低运行成本、提升服务满意度的软环境建设已经成为提高竞争力的重要手段。管理制度、信息通讯、控制技术是集装箱码头软环境建设的基础保障,打造管理科学、低碳高效的集装箱码头是未来发展的趋势。天津港联盟国际公司是由天津港(集团)有限公司、马士基控股、东方海外货柜码头天津公司和PSA国际港务集团共同投资、建设、管理和运营的中外合资集装箱码头公司。公司2007年正式投入运营,2009年完成吞吐量173万TEU,2010年、2011年分别完成190万TEU 和220万TEU。中国经济的稳定增长,天津市北方国际航运中心和国际物流中心城市定位的确立,特别是滨海新区的开发开放,给公司带来了难得的发展机遇,也提出了新的更高的要求。公司在发展过程中面临着天津港诸多集装箱码头的竞争,以及周边青岛港、大连港、河北省诸港口甚至韩国、日本港口的竞争,发展形势不容乐观。天津港联盟国际公司是天津港不断进行体制改革及制度创新的产物,有着较大的制度优势。但由于中国市场经济体制的不完善及港口行业的特殊性,联盟国际公司在治理结构、激励约束、内部管理方面逐渐暴露出一些问题,制约着公司的盈利能力和可持续发展能力。解决这些问题,对公司进行制度创新,不断优化公司的发展已经刻不容缓。本文在考察天津港联盟国际公司发展现状及所面临的宏观环境和行业竞争环境的基础上,从公司治理结构、激励制度和管理制度三个方面分析了公司制度存在的问题,探讨了公司制度创新的动因,并确定了公司制度创新目标及实施措施。试图通过上述措施探寻适合公司发展的制度创新思路,为公司提高盈利能力和可持续发展提供理论指导。同时,随着集装箱运输业务的发展,中外合资投资建设的集装箱码头越来越多,本文希望通过对联盟国际公司优化发展的制度创新研究,为国内众多的中外合资集装箱码头的发展提供参考 | |
英文摘要: | Along with the rapid development of Chinese economy, Chinese container transport industry has grown rapidly. Since 2000, the Chinese container terminal has entered into the fast lane of construction and transformation. By the development of more than ten years, Chinese container terminal own the advanced equipment and facility. However, the competitiveness of Chinese container terminal is not only confined to scale of terminal, the advancement of facilities, and the other hard environment; the construction of soft environment which includes optimizing governance structure, strengthening internal management, reducing operating cost, increasing operational efficiency, and improving service satisfaction has been the important means to enhance competitiveness. The management system, information communication, and control technologies are basic guarantee of container terminal soft environment construction. Create the container terminal which is scientific management, low carbon, and high-efficiency that are the development trend future. Tianjin Port Alliance International Container Terminal Company Limited (TACT) is the Sino-foreign venture of container, which is composed of Tianjin Port (Group) Company Limited, Singapore PSA China Company Limited, East Abroad Container Terminal (Tianjin) Company Limited, and APM Terminals Tianjin International Company Limited, and they are joint investment, construction, management, and operation. The company formally operated in 2007, and it completed throughput of 1.73 million TEU in 2009, and it competed1.9 million standard containers in 2010 and 2.2 million in 2011. The Chinese economy steadily grow, the Tianjin position which is the northern international shipping centre and logistics centre is established, and the development and opening of Tianjin Binhai New Area is included in state overall development strategy and layout in particular, and these all create the rare historical opportunity for the TACT, and also raised the new and higher demands. At the same time, the company faces competition of many Tianjin Port internal container terminal companies in the development, and it also face competition of several neighboring port, including Qingdao Port, Dalian Port, some Hebei provincial Ports, even the Korean Ports and Japanese Ports. The development situation of company is not optimistic. TACT is a product of ongoing institutional reformation and institutional innovation of Tianjin Port, and the company has the larger institutional advantages to promote the rapid development of the company. But Chinese market economic system is not perfect and the port industry has some itself characteristics, and the company gradually reveals some problems involving governance structure, encourage and restraint, and internal management to restrict the profitability and sustainability development of company. It has to immediately do what solve these problems, continue to system innovation for the company, and promote the optimal development of the company. This article is based on that research the development status and macro environment and industry competition environment of TACT to discuss the motivation of the company system innovation on three fields about the company governance structure, the company incentive system, and the company management system. It also determines the target and the implementation measures of the company system innovation, and tries to explore institutional innovation ideas of TACT through above measures, and provides theory guidance to improve profit of the company and sustainable development. At the same time, the author found that the container terminals of the Sino-foreign ventures are more and more along with rapid development of the container shipping business. By the study of optimization development institutional innovation of TACT, this article expects that can provide reference for the development of the large number of domestic Sin-foreign joint container terminal company. | |
