中文摘要：	我国国有电力企业尤其是中央国有电力企业在经历了二十来年的改革后，遵循了国务院国资委的改革步伐逐渐完善了部分治理结构。但我国国有电力企业的治理结构依赖于国企改革路径以及垄断行业的特性，在公司治理方面还存在着很多问题，行政型治理模式在国有电力企业中非常突出，在治理结构、出资人虚位、管理层激励等方面都还有待进一步完善。国电河南电力有限公司是我国国有发电类企业的一员，我国国有电力企业的主要治理问题都可以从国电河南电力有限公司的治理案例中得到体现。在企业改革逐渐深化的过程中，开展国电河南电力有限公司治理模式研究及其实施策略就显得非常重要和紧迫。本文在对经典公司治理理论梳理基础上，从我国国有企业治理转型及相关理论、国有独资企业治理改革的路径和未来趋势以及电力改革和电力企业的公司治理转型等几个方面阐述了本文研究的理论基础。在理论梳理的基础上，剖析了国电河南电力有限公司的治理现状，并指出其还存在着治理结构不完备、行政型治理特征突出、出资者虚位且资本结构单一、董事会职能弱化和虚化、管理层激励约束机制失衡等问题。在此基础上，从公司治理模式定位的内外影响因素、可供选择的治理模式以及治理模式选择建议几个方面总结了国电河南电力有限公司的治理模式定位问题，并从明确经营目标、改善外部治理环境以及建立内部治理结构三个方面提出了改善国电河南电力有限公司治理模式的思路。最后，根据存在问题和模式定位思路的分析，从公司治理实施原则、治理结构设计方案和治理机制优化方案三个方面阐述了国电河南电力有限公司治理模式实施的策略。本文的研究提供了一个国有企业治理改革的案例，既丰富了公司治理研究的案例库，也提供了一个解读我国国有企业变迁的读本，为我们研究我国国有企业治理改革提供了素材。本文的研究也为国电河南电力有限公司完善治理结构提供了框架指导，并为国电集团以及类似企业提供了案例参考。
英文摘要：	After the twenty years reform, Chinese state-owned power enterprises, especially the central state-owned power companies have improved the governance structure gradually, following the pace of reform of the SASAC. Because of depending on the path of the reform of state-owned enterprises and the characteristics of monopoly industries, there are still many problems in the corporate governance of Chinese state-owned power enterprises. Administrative governance model is very prominent in the state-owned power companies. Their governance structure, investors virtual and management incentives are needed to be further improved. China Guodian Corporation Henan Company is one of Chinese state-owned power generation enterprises, and the main corporate governance problems of Chinese state-owned power generation enterprises can be found in China Guodian Corporation Henan Company. In the gradual deepening of enterprise reform process, to carry out the optimization design of corporate governance model of China Guodian Corporation Henan Company is very important and urgent. Based on the comb of the classic corporate governance theory, we elaborated the theoretical basis of this study from the aspects of the corporate governance transformation of China's state-owned companies, the path of the wholly state-owned corporate governance reform, as well as electricity reform and the corporate governance transformation of electricity companies. Based on the theoretical comb, we analyzed the corporate governance status of China Guodian Corporation Henan Company and we pointed out that there are still problems of governance structure inadequate, Board functions weakening, management incentive and restraint mechanisms imbalance. On this basis, this paper summarizes the model positioning of corporate governance of China Guodian Corporation Henan Company from the aspects of the internal and external influencing factors, the alternative model of corporate governance and governance mode selection suggestions. This paper also proposed the idea of improving the corporate governance of China Guodian Corporation Henan Company from three aspects of establishing clear business objectives, improving the external governance environment and establishing the internal governance structure. Finally, according to the analysis of the problems and the patterns positioning, this paper elaborated the optimal design ideas of corporate governance of China Guodian Corporation Henan Company from the three aspects of optimization principles, the governance structure and the governance mechanisms. This study provides a case of the corporate governance reform of state-owned companies. This study enriches the case base of corporate governance and also provides an interpretation of the change of Chinese state-owned enterprises. This can provides material for our research on corporate governance reform of state-owned enterprises in China. This study also can provide a framework for guidance to the improving of corporate governance of China Guodian Corporation Henan Company and can provides case reference to China Guodian Corporation and the similar enterprises.
