中文摘要:民营高科技企业作为我国民营经济的重要组成部分,对我国的经济增长起着举足轻重的作用,然而高层管理人员和核心技术人员的高流动率成为民营高科技企业所面临的一个严峻问题。引入职业经理人,并建立有针对性的合理激励机制,是目前我国民营高科技企业所急需解决的最重要问题之一。而如何对经理人实施正确的激励机制以使其人力资本价值最大化、促进企业长期发展是企业首先应该解决的关键问题。本文的研究目的是为浙江泰森科技股份有限公司建立一种有效的激励机制以帮助其解决目前所面临的人才流失问题,从而促进企业的长期发展。并以该企业为范本,立足于众多非上市的民营高科技企业的激励研究,以期对其行业内的其他企业起到一定的理论指导和借鉴意义。本文针对浙江泰森科技股份有限公司的现状,认为对其经理人实施股份期权激励是能解决其目前困境的有效方案,本文的创新点是为企业的三位拟激励对象设计了七个贡献指标,用以客观公正地评价其业绩,从而授予其合理比例的股份期权,真正将股份期权制度的实施与企业和经理人的绩效考评挂钩。本文设计的激励方案同样适用于其他民营高科技企业,企业可根据自身特点和要求的不同重新对这些指标的权重进行设定,如果经理人顺利完成企业的既定目标即可以获取一定比例的企业股份,但是没有达成目标也就失去了该权利。所以企业实施股份期权激励将会极大地激励激励对象更努力地工作,在提高企业的价值同时获取自身更大利益,从而有利于企业的长期可持续发展。本文通过分析,证明浙江泰森科技股份有限公司对其经理人实施股份期权激励将会有效解决其人才高流失率的问题,如果激励效果明显,激励对象进一步扩大至核心技术人才,将有助于吸引和留住企业核心骨干人才,对企业的长期发展和完善企业分配制度起着至关重要的作用,同时,该制度也有助于企业激励创新、强化约束、降低监督和代理成本。当然,这也适用于行业内的其他企业,特别是非上市的民营高科技企业。 
英文摘要:Private high-tech enterprise, it is our country the private economy is an important component of China's economic growth to the role of acceptance, however private high-tech enterprise faces a serious problem is the loss of top management. Introducing professional managers, and establish the targeted reasonable incentive mechanism is a private high-tech enterprise in China at present the urgent need to resolve one of the most important problems. And how to implement the right of managers incentive mechanism to make the human capital value maximization, promote the long-term development of the enterprise is the enterprise first should be resolved key problem. This thesis studies the purpose is for Zhejiang TAISEN Technology Co., LTD. Establish an effective incentive mechanism to help resolve the faced with the brain drain problem, so as to promote enterprise's long-term development. And with the enterprise of template, and based on many private high-tech private enterprise incentive research, in order to rein in the other enterprise have certain theoretical guidance and reference. This thesis in view of the Zhejiang TAISEN Technology Co., LTD, the status of the implementation of the managers that shares option can solve their predicament currently is the effective plan, this paper the innovation points for the enterprise is three to seven design incentive object contribution index, for the objective and fair evaluation of its performance, determine its options allocation proportion, the real option shares will be implementation of system and enterprise and the managers' performance evaluation hook, a reasonable distribution of the number of shares. In this paper the design of incentive schemes apply to other private high-tech enterprise, the enterprise may, in light of its characteristics and requirements of the different to the weights of these Settings, if managers finish the enterprise the established goal that can get certain enterprise shares, but didn't reach target will lose the right. So enterprise implementation of stock option plan will greatly motivate managers efforts to improve the value of enterprises in order to get their own greater profit, so as to promote the long-term development of the enterprise. The analysis ot this thesis, proved that Zhejiang TAISEN Technology Co., LTD implement shares option to its managers will effectively solve the problem of high talent wastage rate, if incentive effect is clear, and further to expand the incentive objectcore technology talented person, will attract and retain core backbone talents, to perfect enterprise distribution system is very important to the significance, meanwhile, also help enterprise incentive innovation, strengthen constraints, optimization financing, optimizing the cost, innovation culture. Of course, this also applies to the other enterprise in the industry, especially private of private high-tech enterprises.
