中文摘要:股份制商业银行是我国金融体制改革的产物,股份制商业银行的成立,突破了四大国有专业银行一统天下的格局。同时,股份制商业银行通过上市,建立了正常的资金补充机制,为提高透明度、发挥市场监督功能、建立现代银行制度作了有益的探索。2011年4月26日,财政部会同银监会、审计署、国资委等部门联合发布的《企业内部控制配套指引》中指出,组织架构是指企业按照国家有关法律法规、股东(大)会决议、企业章程,结合本企业实际,明确董事会、监事会、经理层和企业内部各层级机构设置、职责权限、人员编制、工作程序和相关要求的制度安排。其中,核心是完善公司治理结构、管理体制和运行机制问题。因此我们可以预见,健全和完善银行公司的治理结构和机制将成为影响股份制商业银行进一步发展的重要议题。研究我国股份制银行公司治理问题,对加快我国股份制银行制度的创新、提高国际竞争力、风险防范和预警能力,提升经营管理效能,在当今激烈的国内外市场经济竞争中保持健康可持续发展具有深远和现实的意义。在后金融危机时代,完善我国股份制商业银行的公司治理结构,成为我国银行业应首要解决的问题。作为一家有代表性的股份制商业银行,民生银行公司治理机制的演变过程成为国内股份制商业银行健全公司治理建设的缩影。本文第一章为绪论,第二章为商业银行公司治理理论综述,第三章在对商业银行公司治理进行国际比较的同时对我国商业银行公司治理的现状进行了分析,第四章为民生银行公司治理的历史变迁与考察,第五章为民生银行公司治理中所得到的启示,最后一章为本文的结论。本文以民生银行公司治理的历史变迁为视角,考察了1996-2010年期间民生银行在完善股权结构、规范董事会建设、加强高管层激励约束机制建设等公司治理建设三个关键因素方面的探索与实践,在此基础上提出了完善我国股份制商业银行公司治理机制的有益启示。主要包括:在优化股权结构方面要合理降低国有股比重、审慎选择民营资本、积极引进战略投资者;在规范董事会建设方面要完善董事会架构、专注董事会核心职能、清晰董事会职责边界、健全董事会约束机制;在健全高管层运作方面完善激励约束机制。同时,进一步展望民生银行今后公司治理的持续完善,提出了实行公开上市、发挥公司治理各主体积极作用的建议。 
英文摘要:Joint-stock commercial bank is the product of China’s financial system reform. The establishment of Joint-stock commercial Banks broke through the pattern that was ruled by four state-owned specialized banks. Meanwhile, joint-stock commercial Banks established normal additional funding mechanism and made beneficial exploration on improving transparency and playing market supervision function through listing. To promote commercial bank management level, the people's bank of China started assets and liabilities proportion management pilots in the joint-stock Banks. Joint-stock commercial Banks seized reform opportunities, and gradually established flexible management mechanism model, such as taking full contract appointment system, target management responsibility system, the term of personal income and bank performance hook advanced management method. In recent years, CBRC eased regulatory policies to allow commercial Banks for trans-regional development. Commercial Banks have a stronger desire and demand to improve corporate governance structure as well as expand its business scale. In April 26,2011 the Ministry of Finance with Banking Regulatory Commission , the Audit Commission and other departments jointly issued enterprise internal control supporting guidelines. The core of the guidelines is to perfect the corporate governance structure, management system and operation mechanism. So we can foresee that improving the banking company governance structure and mechanism will become an important issue on influencing share-holding commercial Banks for the further development . As a typical commercial bank, the corporate governance development in Bank of Minsheng was a representative case in domestic commercial banks. Taking the historical development of corporate governance in Bank of Minsheng as an example, this dissertation studies the experiences of improving ownership structure, rationalizing the board structure, and enhancing the senior management team operations in the Bank. It also raises policy advice in respect of modifying ownership structures, they mainly include the following measures: lower the proportion of state shareholding be prudent in selecting private capital, and attracting strategic investors actively. The proposals in the area of rationalizing the board structure mainly include the following: Optimizing the architecture of board of directors, specifying the core responsibility of board of directors, and establishing the overall control of board of directors. The proposals in the area of senior management operations mainly include: improving the selection process of senior management and developing more effective measures to motivate and discipline the management team. The study of Joint-stock commercial bank governance is of far-reaching significance. On one hand, it can help accelerate the reform innovation, enhance the international competitiveness and the ability to handle risks and pre-warning. On the other hand, it has great influence on the gradual establishment of cooperate governance of socialist market economy, which is a primary problem faced by Joint-stock banks.
