| 中文摘要: | 随着经济全球化和知识经济时代的到来,国内外市场的竞争日趋激烈化。扩大企业规模,迅速地在企业规模扩大过程中获得可观的经济效益,成为了各国政府和企业普遍追求的目标。企业一般可以通过两个途径来达到这样的目标,一是通过自身积累来扩大规模;二是通过外部扩张,而通过企业并购的形式能够实现企业的迅速成长。20世纪以来,世界经济中出现的数次企业并购浪潮,就引起了理论界和企业界的普遍关注。但是并购并不总是成功的,其中文化整合是最常被提到的导致并购失败的原因。随着我国市场经济的发展以及经济体制改革的深化,国有企业改革中外资企业并购将越来越多,我国的外资企业并购国有企业中也存在着只注重物质设备、资产等有形资产的调整与整合的现象,而并购双方的文化整合遇到了较多的障碍,因而也增加了企业并购失败的风险。本文立足于阜新港华燃气有限公司,先对企业文化的定义、层次及功能,企业并购的涵义及其形式,文化整合的涵义、模式及其作用等与企业文化整合相关的理论进行了回顾,然后详细比较了国有企业与外资企业在文化方面的特质和差异,并从文化冲突的角度提出了文化差异可能给并购带来的困难和风险,包括企业文化的差异性分析、企业文化的强弱对比以及企业并购应采取的文化整合模式。最后,本文重点对港华燃气公司并购阜新市煤气公司的文化整合策略选择及实施措施进行了分析,先分别从精神文化、制度文化、行为文化三方面提出了阜新港华燃气公司的文化整合策略选择,然后根据文化整合过程中应遵守的原则对文化整合过程中的具体措施进行了详细阐述。 | |
| 英文摘要: | With the development of economic globalization and knowledge economy, domestic and foreign market are facing increasingly fierce competition. In some ways expanding enterprise scale quickly to gain economic benefits, has become the target of governments and enterprises. Enterprises can achieve such a goal generally through two ways, one is depending on the internal expansion, the other is external expansion through the the form of mergers and acquisitions, to achieve rapid growth finally. M&A appear several tides in the world economy after the 20th century, causing widespread concern both in the theoretical field and the business community. However, not all the M&A are successful, among which failure of culture integration is the most frequently mentioned reason of the loss. This phenomenon also exists in Chinese context. With the development of market economy and the deepening of economic reform in China, there will be increasingly many foreign companies M&A in the reform of State-owned Company. Some factors like focusing only on the adjustment and integration of tangible assets such as equipment but ignoring the culture integration, increasing the risks of M&A. In the set of Fuxin Ganghua Gas Company, this thesis firstly introduces cultural integration theory, like the definition, different levels and functions of corporate culture, the definition and form of enterprise M&A, and the meaning, pattern of cultural integration. Then this thesis analyzes the culture differences between foreign company and state-owned company, and put forward the difficulties and risks that cultural differences may bring to M&A from the perspective of cultural conflict, including the analysis of company culture characteristics, the contrast of specific company culture and finally, the cultural integration mode that company should choose. Finally, this thesis focuses on the culture integration strategy selection and implementing measures in the process of mergers and acquisitions between Ganghua Gas Company and Fuxin City Gas Company. First about the strategy selection from the spiritual cultural, institutional culture and behavior culture three perspectives, then analyzes the specific integration measures in the process of cultural integration according to the relative principles. | |
