中文摘要:民航业是国民经济的重要产业,对我国社会经济发展起着十分重要的作用。21世纪头20年是我国实现从民航大国向民航强国跨越的重要战略机遇期。当前,民航业经过了一系列的规制改革,特别是2002年的大规模重组改革,民航市场已初具寡头垄断格局,竞争非常激烈。伴随着民航业规划管制的放松,民航企业的治理结构也在不断演化中。作为我国大型国有航空运输企业,中国东方航空公司虽然已经完成了公司化改造,实现了两权分离,并建立了相应的董事会、监事会结构,但是公司治理的问题依然突出,治理机制的缺陷已构成东方航空公司进一步发展的体制性障碍。本文试图从理论和实践两个角度,从内部治理和外部治理两个方面,分析和探讨这一重要课题。本文由绪论、公司治理文献回顾、东方航空公司治理现状、东方航空公司内外部治理机制的问题分析、完善东方航空公司治理机制的建议、总结六部分组成。第一章是绪论,介绍了研究背景、选题意义及论文的研究思路与结构安排。第二章是文献回顾,介绍了内部治理机制理论、外部治理机制理论、国有企业与民航业公司治理理论。第三章是东方航空公司治理现状,先介绍了民航业行业特征和产业结构状况,然后介绍了东方航空公司以及其内部治理的现状,最后对东方航空公司的外部治理现状进行了分析。第四章总结了东方航空公司内外部治理机制存在的问题,并分析原因。第五章提出了完善东方航空公司治理机制的建议,从完善薪酬体系、政府监管、飞行员市场这三个方面提出具体建议。第六章是结论,阐述了本文的研究总结,并讲述了本文结论对东方航空公司治理机制发展的启示。本文提出,要加强东方航空公司治理需要从三个方面入手:在管理层激励与约束方面应完善东方航空高管的薪酬体系,建立市场任命机制,在政府监管方面应完善其监管体系,加强监管机构的独立性和促使监管法制化,在劳动者治理方面应从完善飞行员的法规体系、培养体系方面入手,加强其在东方航空外部治理中的作用。 
英文摘要:The civil aviation industry is an important industry of the national economy, plays a very important role in our social and economic development. The first 20 years of the 21st century is an important period of strategic opportunities our country spans from the civil aviation power to a civil aviation power. At present, the civil aviation industry after a series of regulatory reforms, especially the 2002 large-scale reorganization of reform, the civil aviation market has begun to take an oligopoly structure is highly competitive. Along with the deregulation of civil aviation industry planning, the governance structure of the civil aviation enterprises are evolving. As China's large state-owned air transport enterprise, China Eastern Airlines has completed the company transformation, to achieve a separation of ownership and the establishment of the Board of Directors, Supervisory Board structure, corporate governance issues are still outstanding, governance mechanism of defects has become the institutional barriers of Eastern Airlines. This paper attempts from both theoretical and practical point of view, two aspects of internal governance and external governance, analyze, and explore this important issue. This paper consists of six parts, the introduction, corporate governance literature review, the governance status quo of China Eastern Airlines, the issue of external governance mechanisms, and improve the recommendations of the Eastern Airlines governance mechanism, and the sum. The first chapter is an introduction, describes the research background, the significance of the topic and thesis research ideas and structural arrangements. The second chapter is a literature review, introduces the theory of internal governance mechanisms, external governance mechanism theory, state-owned enterprises and the civil aviation industry company governance theory. The third chapter is the status of governance of the Eastern Airlines, industry characteristics and the Industrial Structure of the civil aviation industry was first introduced, then the status of Eastern Airlines as well as its internal governance, and finally the external governance of the status quo in the Eastern Airlines were analyzed. The forth chapter summarizes the problems of Eastern Airlines internal and external governance mechanisms, and analyze the reasons. The fifth chapter presents the recommendations to improve the governance mechanism of the Eastern Airlines, from government regulation, the pilot market, improve the pay system and put forward specific proposals to establish a market appointment mechanism for these three areas. The sixth chapter is the conclusion on the study concluded, and about the revelation of this article Conclusion The development of China Eastern Airlines, the corporate governance mechanism. In this paper, to strengthen the corporate governance of the civil aviation industry from three aspects: government regulation should improve the regulatory system and strengthen the independence of regulatory bodies and prompted regulators to the legal system, pilots should improve the regulatory system in the governance of workers, training system-pronged approach to strengthen its role in the external governance of civil aviation enterprises should improve management incentives and constraints of the salary system for civil aviation executives, to establish a market appointment mechanism.
