中文摘要：	承包商投标参与一个工程项目，最主要目的在于以合理的成本获取最大利润，而一旦业主在履约过程中为工程变更，势必对承包商的成本与利润结构发生改变。鉴于工程变更的重大性可能对于契约相关利益主体的权益发生严重影响，本文首先研究分析重大变更理论的核心观点，归纳得出重大变更的成立要件和法律效果。然后再从项目管理层面研究契约相关利益主体对于重大变更的合理控制和管理。本文研究结果对于重大变更得出下列几点处理原则： 1.重大变更的判断原则为变更后之项目工作与原约定工作是否丧失同一性。 2.业主指示已经构成重大变更的情况下，承包商在与业主就重大变更完成议价及订定工期，进而办妥契约变更手续之前，有权利停工或拒绝施作。 3.契约双方当事人就重大变更所进行之议价，应重新依照重大变更当时的情况估算价格，各工作项目之单价不必受到原来契约中已有约定单价之拘束。 4.当契约双方当事人无法就重大变更议定合理价格时，应由法院或仲裁庭等审判者依《民法》情事变更原则之规定，对原来的契约价格进行合理的调整。 5.承包商在遇到重大变更的情况时，对于事实、成本控制、合约管理等相关文件，应积极有效建立及归档，并对索赔流程作适当的管控，避免时效消灭及失权。本文经由实际案例的分析，以文献研究和集成管理研究的方法，对重大变更的管理方式进行分析研究，期为工程项目重大变更的的风险管控提出建议。
英文摘要：	To reap maximum profit at reasonable cost is of utmost importance for contractor to participate in an engineering project. However, any change made by the owner to the project in the course of performance of contract inevitably leads to change in the contractor’s cost and profit structure. With possibility that the seriousness of project change may have great impact on the rights and interests of related interested parties of the contract, this thesis first studies and analyzes the core viewpoint of cardinal change theory, inducing the requirements and legal validity of cardinal change; then, this thesis studies, from the angle of project management, the reasonable control and management by related interested parties towards cardinal change. The result of this study sheds light on following principles in the handling of cardinal change: 1. The rule of determining cardinal change is whether or not the work of a project after change is consistent with the originally agreed work. 2. Under the circumstance where the owner’s instruction has constituted cardinal change, contractor has the right to suspend work or to refuse execution of the project before completing price negotiation, fixing work schedule and going through the formalities of making revision to the contract. 3. Both parties of the contract shall make price estimate basing on the situation when cardinal change occurred, when they make price negotiation over cardinal change. The unit price of all work items is not required to be subject to the unit price originally prescribed in the contract. 4. When both parties of the contract are unable to reach agreement on the reasonable price for cardinal change, the original contract price shall be reasonably adjusted by the court or arbitral panel pursuant to the Clausula Rebus sic Stantibus under civil code. 5. When encountering the situation of cardinal change, contractor shall actively and effectively build up and file documents in relation to facts, cost control and contract management, and shall properly control claim procedure. As such, the contractor can avoid the issues of statute of limitations and forfeiture of right. Through analysis of practical cases, literature review and integration management research, this thesis conducts analysis and research of the management methods of cardinal change in attempt to make recommendations to risk control for cardinal change to engineering project.
