中文摘要:在经济体制转轨和发展方向转变的特殊时期,我国企业纷纷了走上战略转型之路,但不乏一些企业仍对战略转型持抵制态度或者没有达到预期的转型效果,因此到底要不要转型成为企业界面临的一个难题。为了响应企业界的要求,学术界也开始关注战略转型问题。当前国内学者对于战略转型的研究尚处于探索阶段,缺乏对企业战略转型决策影响因素的深入分析。考虑到高管团队在企业战略决策制定过程中的重要作用,本文将高管团队引入战略转型研究框架中,研究高管团队人口统计学特征及其异质性对企业战略转型的影响,并从平均值和异质性两方面入手,选择高管团队的任期、年龄和受教育程度作为研究变量展开研究。 本文采用文献梳理、理论推演和实证研究相结合的方法,首先对战略转型理论以及高管团队人口统计学特征及其异质性对企业战略转型影响的研究成果进行了综述;然后在高层梯队理论、嵌入性理论和团队冲突理论的基础上,提出了研究假设;最后选择193家我国沪深两市制造业上市公司为样本,进行二元逻辑回归分析,从而验证研究假设,并对回归结果进行讨论。本文的研究结论包括以下几点:(1)高管团队的平均任期和平均受教育程度与企业战略战略决策之间存在负相关关系,而高管团队平均年龄与企业战略转型决策之间并不存在显著的线性关系。(2)高管团队受教育程度异质性与企业战略转型决策之间存在正相关关系,高管团队任期异质性和年龄异质性与企业战略转型决策之间并不存在显著地线性相关关系。 本文的创新点表现在两方面,一方面,从业务角度对企业战略转型的概念进行了界定,将战略转型转化为定量数据,从而为实证研究的开展奠定一定的基础;另一方面,探索性地梳理了战略转型的影响因素,从多个角度探讨了企业发生战略转型的内在机理。本文的研究意义在于构建了公司治理与战略转型之间的联系,指导企业完善自身治理结构,从而把握最佳战略转型时机。  
英文摘要:Nowadays as China’s economic growth mode is changing, enterprises have faced strategic transformation. However, there are still some enterprises unwilling to undertake strategic transformation. As response to the need of practice, many scholars start to discuss the problem of strategic transformation. Considering the important role of top management team in strategic decision making, the thesis discusses how top management team’s demographic characteristics to affect enterprises’ strategic transformation. And the thesis choose top management team’s tenure, age and education background as research variables, and then divide them into average and heterogeneity. And then we use organizational size, shareholding ratio of top management team and organizational performance as control variables. The thesis uses literature review, theory analysis and empirical research method. Firstly, review the current researches on how average and heterogeneity of top management team’s demographic characteristics to influence strategic transformation. Secondly, based on top echelon theory, embedding theory and team conflict theory, we put forward six research hypotheses. Thirdly, we choose 193 manufacturing listed companies as a sample and use their relevant dates to carry on binary logistic regression analysis to test our hypotheses. The conclusions of the thesis are showed as follow. Firstly, the average tenure and education degree of top management team have a negative effect on enterprise strategic transformation decision. Secondly, the heterogeneity of top management team’s education degree has a positive effect of enterprise strategic transformation. Thirdly, there is no obvious linear relationship between the average age, the heterogeneity of tenure, the heterogeneity of age and enterprise strategic transformation decision. The thesis has two innovations. On one side, it defines the conception of strategic transformation based on business and changes strategic transformation to quantitative data, so that the thesis can use empirical research method. On the other side, the thesis explores to summarize the factors which effect strategic transformation. The significance of the thesis is to construct combination between corporate government and strategic transformation and introduce enterprise improve their government structure to grasp the best transformation opportunity.
