中文摘要:2008年6月18日,国务院常务会议原则通过了《关于推进海南农垦管理体制改革的意见》,要求按照政企分开、社企分离、建立现代企业制度的总体要求,深化海南农垦管理体制改革,由海南省全面管理海南农垦,使海南农垦的体制融入地方、管理融入社会、经济融入市场。这次改革,本质上是通过以转型为企业集团为核心的改革,以进一步提升海南农垦可持续发展能力。海南农垦商贸置业集团正是在这样的背景下由海南省农垦金龙物资实业总公司、海南省农垦商贸实业总公司和海南省农垦医药公司等9家企业重组而成。由于体制机制限制和经营管理不善等原因,集团面临一系列的问题和困难。如集团处于低水平运营,在维持生存而非发展状态;尚未形成明确发展战略,短期利益和可持续发展之间矛盾突出;集团下属企业历史遗留问题较多;维稳任务重等。但集团也具有一定土地等优势资源,在国际旅游岛发展背景下具有潜在市场机会。在外在环境变化和自身问题凸现的情况下,如何发挥自己的特长和优势,有效、合理地配置资源,在市场中求得生存和发展成为面临的主要问题。面对过去和当前发展现状,立足未来发展,在该集团初步完成组织结构重组基础上,针对集团资源研究其重组问题,具有重要现实意义,可为集团发展提供决策支持,实现集团工作短期内突破和长期的可持续发展,并对其他农垦直属工商企业发展提供借鉴。研究综合运用企业资源、战略重组、战略管理的理论和方法,着重从资源视角分析其战略重组思路。文章分为6章,相应内容如下:第一章为绪论,分析研究的背景、理论基础、研究方法和思路。第二章为集团的概况与发展困境,介绍集团总体情况及各下属企业的基本情况,重点分析存在的困境及产生原因。第三章为集团资源分析,揭示集团现有资源存量和构成,并对资源进行开发效益分析。第四章为战略重组后集团的机遇识别,重点分析集团外部环境与市场机会,为集团战略选择提供了依据。第五章为战略重组思路分析,分析战略重组的动机,资源与战略的匹配,以及未来5年的业务规划与效益分析。第六章为实施对策。 
英文摘要: was passed at the executive meeting of State Council, 18thJune.2008, which requires to deepen the reform of Hainan state farms management system, pass the comprehensive management of Hainan state farms on Hainan province, then make system the of Hainan state farms into the local place, its management into the society and its economy into the market. All of these have to be accorded to the general requirement that separating the politic and enterprises, departing the social and enterprises, to establish a modern enterprise system. This time, the nature of the reform is to promote the sustainable development ability of Hainan state farms by the reform of transform into a enterprise group that is also the core of the reform. Hainan State Farms Business Property Group did establish under this context, which is restructured by 9 enterprises including Hainan state farms JinLong industry corporation, Hainan state farms trade industry corporation and Hainan state farms pharmaceutical company. But owe to the restrictions from the system and ill management and some other causes., the Group face a series of problems and difficulties, such as, the Group is in low level operation to survive rather than to develop; there is not clear development strategy but sharp contradiction between short-term interest and sustainable development; the Group affiliated enterprises has many problems left by the history; what’s more, there is heavy task to keep peace, and so on. Although, the Group also has its advantages in land resources and potential market chances under the background of International Tourism Island. Under the institution that environment changes outside and self-difficulties appear inside, how to play the specialties and advantages to allocate the resources effectively and reasonably, then to keep survival and development in the market becomes the major problem that the Group faces. So, with the past and the current situation, keeping a foothold in the future development, to research restructuration of the Group aiming at its resources based on its preliminary complete of organization structure restructuring has the important practical significance, and can provide decision support for the Group development then to realize short-term breakthrough and long-term sustainable development as well to provide reference for other state farms industry and commerce enterprise. This research comprehensively uses the theories and methods of enterprises resources, strategic restructuring, strategic management, to analyze the ideas of its strategic restructuring which focuses on the perspective of resources. The thesis has 6 chapters, each is as following: The first chapter is introduction, the analysis of the background, theory basis, analyzing methods and ideas of the research. The second chapter is the situation of the Group and the difficulties of its development, introduces the overall situation of the Group and the general situation of its subordinate enterprises, focuses on analysis of the exiting difficulties and its reasons. The third chapter is analysis of the Group resources, to reveal the current resources and its constitution and also to analyze its development benefit. The forth chapter is about the opportunity recognition after strategic restructuring, focuses on the external environment and market chances for the Group, and then to provide accordance for strategic choice of the Group. The fifth is about analysis of strategic restructuring ideas, which analyze the motivation of strategic restructuring, the matching between resources and strategy and business plan as well as benefit analysis in 5 years. The sixth one is the conclusion and some countermeasures.
