中文摘要：	天津市市政工程建设公司(天津市市政公路利用世界银行贷款办公室)成立于1992年，主要负责天津市市政公路世界银行贷款项目的建设管理，利用外资项目的各项前期和项目执行管理，承担推行固定资产投资总甲方工作，负责市政道路、桥梁、公路、排水等建设工程的建设管理。公司本身是属于天津市市政公路管理局下的半事业、半企业单位，公司具有全资子公司天津市恒捷市政工程建设有限公司。公司本身的治理问题比较复杂。通过对该公司治理问题的分析，一方面有利于丰富相关的事企分离的公司治理理论；另一方面，有利于公司自身不断的推进内部管理体制改革，优化治理流程，为其他类似企业提供一定的借鉴。本文首先综述了公司治理的一般理论、国有企业的公司治理，以及国有独资企业的公司治理转型理论。进而指出，天津市市政工程建设公司需要推进公司的治理转型，进一步推动公司治理转型，从传统的行政型治理向现代化的经济型治理方向转型。本文分析了公司存在的治理问题，包括事企分离不彻底、公司性质不明，缺少法人财产权、存在严重的行政干预，以及经理层的任免和激励机制不健全、制衡机制和监督机制弱化等，最后提出了针对性的具体对策：进一步推进事企分离，完善经理层的任免与激励机制，完善制衡与监督机制等。尤其是对于经理层来说，要对招投标、设计变更、资金管理等关键环节，加强廉政风险防控机制建设，扎实推进工程建设领域突出问题和小金库等专项治理工作，探索建立长效的任免机制。
