中文摘要：	公司治理研究对于社会经济发展具有重要的理论意义和实践意义，受到经济学界的广泛关注。加强公司治理理论研究，有利于我国国有企业现代企业制度改革，有利于建立和完善社会主义市场经济体制。目前，我国大部分国有企业已经建立了董事会、监事会及经理层等管理机构，从表面上看上似乎已经成为规范的公司制企业。但是，跟国有体制改革以前相比，很多企业的经营管理状况实际上没有太多改善，经营业绩并没有因此提升。实践证明，由于未能建立完善的国有企业公司治理结构，未能实现国有企业公司治理的健康机制，很大程度上影响了国有企业的经营管理业绩和改革治理效果，阻碍了现代企业制度的建立和规范。目前国有企业公司治理中存在哪些问题，我们要怎么才能在国有企业公司治理过程中取得实际效果？这是很多经济学者和企业管理者非常关心的问题。本文研究的主要问题就是国有燃气供应企业公司治理，以滨海燃气集团公司为例，综合探讨国有企业、公用事业型企业、企业集团公司的治理问题，对国企公司治理中存在的显著问题以及产生问题的具体原因进行了探讨，并结合公用事业型企业的特点提出相应的对策和措施，寻求企业规范公司治理，实现科学发展的途径，促使国有企业迈入良性发展的轨道。
英文摘要：	Study on corporate governance for the social economy development has important significance in theory and practice, by the wide attention of economics bound. Strengthen the research of corporate governance theory, be helpful for our country state-owned enterprises modern enterprise system reform, to build and perfect system of socialist market economy. At present, most state-owned enterprises of our country have established the board of directors, board of supervisors and managers management institution, on the surface seems to have become the only standard company system enterprises. However, with the reform of state-owned enterprises than before, many of the management condition is actually not much improved, operating performance and therefore without lifting. Practice has proved that, due to the failure to establish and improve the corporate governance structure of state-owned enterprises, failed to achieve the corporate governance of state-owned enterprises health mechanism, largely influenced by the state-owned enterprise management achievement and reform management effect, hinders the establishment of modern enterprise system and standardizing. The corporate governance of state owned enterprises exist what problem, how we want to be in the corporate governance of state-owned enterprises in the process to obtain actual effect? This is a lot of economic scholars and enterprise managers are very concerned about the issue of. This article studies the main problem is state-owned gas enterprises corporate governance, to the coastal gas group company as an example, a comprehensive study of the state-owned enterprises, public utilities, enterprise group corporation governance of state-owned corporation governance, in the presence of significant problems and problems specific reasons were discussed, and combined with the characteristics of public utilities proposed the corresponding countermeasure and the measure, for enterprises to standardize the corporate governance, to achieve scientific development way, make state-owned enterprises into the healthy development track.
