中文摘要：	公司治理是公司运营的核心内容。公司治理从权力结构来讲分为股东大会、董事会、监事会和经理层四个层次，董事会则是公司治理的核心。因此依法有序建立健全强有力的公司治理，不断完善董事会制度是确保公司有效运行的前提条件。海南农垦是集企业、行政、社会于一体的特大型国有企业。为了适应社会主义市场经济的要求，建立现代企业制度，实现政企分开、社企分离，多年来，海南农垦积极推进国有企业公司制改革。海南农垦国有企业实行公司制改革已经经历了十多年的历程，其改革方向勿庸置疑，但公司治理特别是董事会制度方面还存在不够完善的问题。建立健全公司治理和完善董事会制度将是一项任重道远的系统工程，它直接关系到海南农垦国有企业公司制改革的进程和成效。本文以海南农垦国有企业为研究对象，重点通过对海南农垦国有企业公司制改革的具体研究，剖析公司治理和董事会制度存在的问题，探索和论证公司治理的作用，以及提出相应政策建议。本文主要从以下几个部分进行具体研究：第一部分是介绍公司治理的相关概念及法律规定；第二部分介绍海南农垦公司制改革与公司治理的历程；第三部分是对海南农垦公司制改革与公司治理进行分析；第四部分提出进一步完善海南农垦的公司治理结构建议。
英文摘要：	Hainan State Farms is one large state-owned enterprise which combines enterprise, administration and society. In order to meet the requirements of the socialist market economy to establish a modern enterprise system and to realize separation of enterprise from administration, Hainan State Farms has actively promoted the reform of state-owned enterprises into companies for years. It is more than ten years since Hainan State Farms started corporate reform of state-owned enterprises. There is no doubt about the reform direction, but corporate governance especially the board of directors system is not perfect, there are still problems. To Establish a sound system of corporate governance and to improve the board of directors is a huge and complex systematic project, which is directly related to process and effect of the corporate reform of state-owned enterprises in Hainan State Farms. Corporate governance is the core of the company's operations. In terms of the power structure, Corporate Governance is divided into three administrative levels, i.e. shareholders' meeting, board of directors and executive officers, among which the board of directors is the core of company governance. Therefore, to establish a sound corporate governance orderly according to law and to continuously perfect the board of directors system is the prerequisite to ensuring the effective operation of company. This paper chooses State-owned Enterprises in Hainan State Farms as the study object, focuses on studying on the corporate reform of state-owned enterprises in Hainan State Farms, analyzes problems exsiting in corporate governance and the board of directors system, explores and demonstrates the role of corporate governance, and to put forward corresponding policy recommendations. This research paper consists of the following four parts：The first part describes the literature review and related theories of corporate governance. The second part introduces the course of corporate reform and governance in Hainan State Farms.The third part discusses the significance and main problems of the corporate reform and governance in Hainan State Farms. The fourth part puts forward relevant policy suggestions by analyzing the case of the corporate reform and governance in Hainan State Farms.
