中文摘要: | 领导体制改革,可以规范军工科研院所的内部权力、理顺党组织和法人治理结构的关系以及加强对经营者的监督和约束。因此,领导体制的改革问题关系到军工科研院所能否成为自主经营、自我发展、自我约束的社会主义市场经济竞争主体和法人实体。军工科研院所是我国国有企业的一种特殊形式。军工科研院所目前主要采用了院(所)长负责制、国有独资公司和股份制公司三种领导体制模式,都存在一定的问题。对军工科研院所领导体制进行改革,必须从解决好党组织的定位、党政关系、完善治理结构、建立健全监督约束机制等入手。建立科学有效的法人治理结构是军工科研院所领导体制改革的主要方向。其核心就是构建规范的董事会、监事会,党组织要确立其中的政治核心作用,外部董事制度要成为破除内部人控制的主要工具。还要健全监事会制度,培育经营管理者人才并建立考核评价、激励和制约体系。这样,军工科研院所才能逐步走向市场,并切实保证国有资产出资人的利益。作为笔者服务的单位,A研究院在领导体制改革方面迈出了坚实的步伐,取得了一系列的成就。下一步要通过建立有效的董事会、监事会、建立市场化的激励约束机制等方法,进一步推进领导体制改革,以推动A研究院快速发展,并为军工科研院所领导体制改革提供借鉴和参考。 | |
英文摘要: | Leadership system reform, can regulate the internal power of military industry research institutes, rationalize the relationship between the party organization and the legal person administration structure, and enhance the supervision and restraint of the operator's. Therefore, the leadership system reform issues related to military industry research institutes can become autonomous, self-development, self-restraint of the socialist market economy, competition main and corporate entities. China's military industry research institute is a special form of state-owned enterprises. Currently the responsibility for director (manager), state-owned companies and joint-stock company are three main kinds of leadership system mode of military industry research institutes, there are some problems. In order to reform the leadership system of military industry research institutes, we must solve the party's position, the relation of the party and the operator, improving the administration structure, establish and improve the supervision and restraint system. Establishing a scientific and effective legal person administration structure is the main direction of leading system reform of military industry research institutes. Its core is building the board of directors and supervisors, and the party establishes a central role, outside director system gets rid of internal control. Also improve the supervisory system, train managers and establish evaluation, incentive and restraint system. In this way, military industry research institutes will gradually enter the market, and effectively ensure the interests of state-owned assets. As the unit I served, A Institute has made a solid progress in leadership system reform, and has made a series of achievements.
