中文摘要: | 摘要 家族企业是人类历史上最早出现的一种商业组织形态,在世界经济中有着举足轻重的地位。家族企业在所有企业组织形态中,有其特殊性。这种特殊性在于家族企业的所有权掌握在以血缘、亲缘为纽带的家族成员手中。家庭成为一种有形资源,是家族企业独有的竞争优势。但是由于家族成员在性格、价值观等方面存在着差异,导致了对企业决策的差异,这时冲突也随即产生。冲突导致企业内耗,效率低下,但是,企业内部发生冲突并不是一件令人悲观的事情,相反,正是冲突推进了企业的改革和创新。 本文的研究内容主要是通过家族企业天津认一民清真食品有限公司的内部冲突事件,结合相关理论方法,试图寻找合理而有效的冲突解决方案,能够促进企业的健康有序发展,也尽可能地避免因为企业成员间冲突带来的种种低效率的问题。 本文首先对文章的选题背景以及国内外有关家族企业的研究做了简要的回顾,提出了文章选题的理论与现实意义,而后又介绍了相关的基础理论,其中包括利益相关者理论和冲突理论。接着又研究了我国家族企业经营的特征、家族企业成员之间冲突的根源及表现形式。介绍了几种解决家族企业冲突的途径:建立争端解决机制、结构变革及制度创新和建立企业文化。 本文的最后以天津认一民清真食品有限公司为例,通过回顾认一民的发展历程,探讨了家族企业成员之间的冲突影响认一民管理绩效的因素,结合实际情况探讨了几种可以解决家族企业内部成员冲突的方法。 关键词:认一民公司 家族企业 家族企业成员之间冲突 公司治理 | |
英文摘要: | Abstract Family business is the earliest business organization in the history of human beings, and plays an important role in international economy. Family business has its particularity among all the enterprise organization. The particularity is that the ownership of family business is in the hands of family members with the links of blood and genes. The differences on personalities and values between family members lead the difference between enterprise decisions, and that is why the conflicts turn up. The research content of this essay is mainly about the solutions of the conflicts in the family business Ren Yi Min, and seeking out the way to promote the healthy development of the company, avoiding the inefficiency caused by the conflicts between the members. Firstly the paper reviews the background and family business problems at home and abroad, coming up with the theory and realistic significant; and then introduces the basic theory, including the Stakeholder Theory and Conflict Theory. Next it researches the feathers of domestic family business and the source of their conflicts between the members. There are several approaches to solve these conflicts: establishing a dispute settlement mechanism、structural reforms、system innovation and establishment of corporate culture. Finally, it introduces the case of Ren Yi Min by reviewing the background of the company, it discusses the elements which affects management performance of Ren Yi Min, and probes into some methods which can solve the conflicts in the family business.
