中文摘要:自从20世纪以来,企业并购逐渐成为影响社会经济发展的一个特别重要的力量。尽管企业并购对企业的成长极其有利,带来高额的利润,但企业并购是一项高风险的商业行为,并购成功率不高,而影响并购成败的核心问题之一就是并购中的人力资源整合。人力资源是企业的第一资源,是企业核心竞争力的保障和动力。人力资源整合是并购方根据企业的发展目标、双方企业人力资源的特点,设计规划出合理的人力资源体系。企业并购成功的关键,很大程度决定于有效的整合双方的人力资源。 辽宁广播电视台全面并购整合是中国文化体制改革一个试点,根据中央领导的指示精神,此次整合要摒弃简单的物理相加,名合实分的组建模式,而是要真正的发生资源互相交流、多媒体平台共享的化学反应,以此形成以新闻宣传和产业经营为两大业务主体的崭新格局,为全国其他省市地方提供制播分离探索新途径。本文将通过对并购中人力资源整合问题的分析研究,为中国广播电视更好的进行并购重组中的人力资源整合提供具有指导意义的建议。本文以辽宁广播电视台并购重组为研究对象,针对辽宁广播电视台资源整合过程中存在的问题,采用了理论与实际分析相结合的方法进行研究,在辽宁广播电视台内部,进行现场考察、实地调查、员工访谈、深入走访,收集直接真实的资料,作为本文理论论述的依据。本文首先分析了辽宁广播电视台在并购中人力资源整合的现状,并购中人力资源整合遇到的问题。紧接着提出辽宁广播电视台为解决人力资源整合过程中应该如何优化设计,总结出人力资源整合的原则、人力资源整合的模型、以及人力资源整合的具体实施。最后,针对辽宁广播电视台在整合并购中的经验,对中国的广播电视并购整合,基于可持续发展的原则,提出若干建议,从人力资源管理系统整个体系的角度来进行人力资源整合等等。 
英文摘要:From the 20th century, mergers and acquisitions affect the socio-economic development has become a particularly important force. Although mergers and acquisitions is extremely beneficial for business growth, highly profitable, but mergers and acquisitions is a high risk business practices, M & A success rate is not high, which will affect the success of mergers and acquisitions is one of the core issues of human resources in mergers and acquisitions .Integration is the acquisition of human resources development goals based on business side, both the characteristics of corporate human resources, a reasonable design and planning of human resources system. M & A key to success is largely determined by the effective integration of both human resources. Integration of broadcast TV stations in Liaoning is China's cultural system acquired a pilot, according to the instructions of the central leadership, the integration should abandon the simple sum of the physical, the real name of co-formation of sub-models, but the real place to exchange resources, multimedia platform sharing of chemical reactions, thereby to form a public information and industrial operations into two main business of the new pattern for the other provinces in areas such as Separation of production and broadcast explore new avenues.
