中文摘要:摘 要随着国内外竞争环境的日趋激烈,越来越多的公司开始重视管理层的长期激励问题。从以美国经验为主的国外经验来看,对公司管理层实行长期激励的主要方法是实施股权激励计划。股权激励是一种以公司股票为标的的,对其董事、监事、高级管理人员、骨干员工及其他人员进行长期性激励的机制安排。股权激励机制产生于20世纪50年代,在西方国家已经得到普遍运用,在我国经过20多年的尝试和探索,已经初步具备了一定的规模。但是,股权激励制度在我国在实施的过程中出现了这样或那样的问题,很多是设计时就存在不少问题,如何帮助我国企业实现有效地长期激励,吸引、挽留人才,最终达到增加企业价值,实现股东利益最大化的目的,深刻认识和研究股权激励设计显得非常必要。本文主要采用理论分析法、案例研究法,比较分析法在回顾股权激励基本理论后,通过对万科股权激励方案从理论到实例,深入分析了影响股权激励实行的各项设计因素,指出存在问题并提出了对策建议,对于提高上市公司股权激励方案设计有效性具有一定的积极意义。本文从内容上共分为五章:第一章绪论,阐述了问题的研究背景、研究意义。第二章股权激励概述,对股权激励制度相关的经济学和管理学的基本理论进行了综述并系统地介绍了国内外的股权激励研究现状。第三章对万科2011股票期权激励计划主要内容作介绍,并对其要素和特点进行分析。第四章简要介绍了万科公司2006限制性股票计划的内容及特点并与2011股票期权计划进行对比分析。第五章,分析了万科两期激励计划的实施效果,指出存在的问题,并提出改进建议。 关键词:万科 股权激励 上市公司  
英文摘要:Abstract With the increasingly fierce competition environment at home and abroad, more and more companies are paying attention to the problems of long-term incentives of management. From overseas experiences, main methods of long time incentive to the management are the implementation of equity incentive plan. Equity incentive is a stock company for mark, the directors, supervisors and senior management personnel, backbone employees and other personnel incentive mechanism of long-term arrangements. Equity incentive mechanism produced in the 1950 s, in western countries has been widely applied. in our country, after 20 attempt and explore, has initially have certain scale. But, the option incentive system in our country in the implementation process appeared this or that issue, and many design is there is a lot of problems, how to help our country enterprise realize effective long-term incentives to attract and retain talents, finally, to increase the value of the enterprise, to realize the purpose of maximizing shareholder interests, deep understanding and research is very necessary to design equity incentive. This paper uses theoretical analysis and case study, comparative analysis in equity incentive review the basic theory, through to vanke equity incentive schemes from theory to cases, in-depth analysis of the influence of the design of equity incentive factors, pointed out the existing problems and puts forward some countermeasures and Suggestions for the improvement of the listed company, equity incentive scheme design effectiveness has positive significance. This paper will be divided into five chapters on the content: The first chapter the introduction, this paper expounds the problems of the research background, the research significance. The second chapter to equity incentive for this paper, equity incentive system the relevant economic and the basic theories of management is reviewed and system at home and abroad is introduced the option incentive research situation. The third chapter of China vanke 2011 stock options incentive plan main content, and the elements introduced and characteristics are analyzed. The fourth chapter briefly introduces China vanke Co. in 2006 the option incentive plan content and features. Chapter 5, analyzes implementation effect of two period incentive plan, points out the existing problems, and puts forward some Suggestions. Key words: vanke; Equity incentive ; the listed company
