中文摘要: | 随着中国社会的变化和中国政府的职能的转型,中国的公益基金会开始承接由政府转嫁的一部分社会公益职能,并在社会的公益活动中发挥重要作用,逐步得到发展。未来的社会服务功能必然会转移到社会组织中去,政府购买第三方服务的这种模式业已确认。其目的是为了动员广泛的社会力量参与到公益事业中来。自1981年中国诞生第一个公益基金会—中国儿童少年基金会至今,中国公益基金会已经发展到2457家,30年来,中国公益基金会创造了希望工程、幸福工程、春蕾计划等著名公益品牌,在中国经济和社会发展中发挥越来越重要的作用,社会地位日益突出,成为建设和谐社会的一支不可缺少的力量但是,就在中国公益基金会事业的一路凯歌之时,2011年的“郭美美”、“卢美美”事件又把中国的公益基金会推到了风口浪尖上。美国的公益基金会在这个问题上的前车之鉴也值得我去深思。20世纪90年代,美国最大的基金会之一联合道路基金会的前主席William Aramony因骗取了该组织120万美元而受到处罚。这些基金会的腐败问题将矛盾直指治理问题,它恰恰反映了公益基金会缺乏有效的治理 。公益基金会常常是效率低下的代名词,公益基金会作为公益慈善的化身,承担成人类最伟大的事业,它所暴露的问题将会打击公众对慈善事业的信心。如何改善治理,重塑人们对公益事业的信任,将成为本文探讨的重点。本文首先描述了中国公益基金会的研究背景。对公益基金会的概念进行了界定。基金会属于非营利组织的一种,是一种非政府、非盈利的组合。同时对非营利组织治理和公益基金会的治理的相关文献进行了评述,并且指出了一些国内外研究的局限性。运用四个基础理论—委托代理理论、信息不对称条件下的问责理论、利益相关者理论和人力资本理论,进一步阐明了中国公益基金会治理的必要性。美国是全球拥有基金会最多的国家之一,因此要研究基金会有必要先看一下美国的公益基金会。通过对美国公益基金会的产生和发展,美国公益基金会的分类、还有其内外部管理体制的分析,可以从中得到一些中国公益基金会可以值得借鉴的东西。而中国公益基金会的治理,既要借鉴国外特别是美国的经验,又要考虑中国所处政治和历史背景。通过运用公司治理理论,从结构治理和机制治理两个方面对中国公益基金会的治理展开讨论。但又由于基金会本身的特殊性,从公司治理到基金会治理,二者既存在相似性,同时又存在差异性因而在对中国公益基金会目前存在的一些问题进行分析时,不能照搬照抄公司治理理论。而要做到特殊情况特殊对待。。最后对中国公益基金会的治理提出的一些建议。从内部治理和外部治理两个部分对中国公益基金会的治理提出了一些建议,同时引进博弈论的观点,通过时下关于基金会的一些热点事件分析了理事会和监事会、基金会和社会外部监督、理事会管理层和外部监督的博弈分析,为中国公益基金会的进一步发展提出一些建议。 | |
英文摘要: | With the change of Chinese Society and the transformation of Chinese government’s function, the Chinese public welfare foundation began to chnrge one part of public welfare which was transferred by the government, and plays an important role in the social public welfare activity. In future,the function of social service must move to the social organization, the model which the government purchase the third party sevice has been confirmed. The birth of the Public Welfare Foundation in China which is Children’s Foundation of China since 1981, Chinese Public Welfare Foundation has grown to 2457, it created many commonweals brands for example Hope Project, Happiness Project, Spring Buds Program etc. It plays an increasingly important role in the economic and social development, becoming an indispensable force in building a harmonious society. However, when success all the way of the Chinese Public Welfare Foundation, Guo Meimei and Lu Meimei events in 2011 pushed it to the forefront again. It is worth to ponder that the United States Public Welfare Foundation issues, in the 1990 of the 20th century, the United States one of the largest Foundation, former Chairman of the joint of road Foundation William Aramony, in jail because of defrauding the Foundation $1.2 million. The corruption will conflict directly at governance issues, it just reflects the Public Welfare Foundation’s lack of effective governance. The Public Welfare Foundation is often synonymous is often synonymous with inefficiency. As the incarnation of public benefit charities, undertaking the great career, what it was exposed problem will combat public confidence. Regarding how to improve governance and rebuilding trust for the Public Good, which will be the focus of he discussion on this article. We introduced the background of the research on the first chapter, the Public Welfare Foundation concepts are defined. The Foundation is a nonprofit organization , is a combination of non-governmental and non-profit. We also reviewed related literature about nonprofit and the Public Welfare Foundation governance, and pointed out some limitations of the research at domestic and overseas. we researched theory of the Public Welfare Foundation governance. Using four basic theories which are Principal-agent theory, Accountability under the condition of information asymmetry theory, Stakeholder theory and Human capital theory, further explained the necessary for the Public Welfare Foundation governance. we dissected the United States Foundation development, through understanding on produce and development of the Public Welfare Foundation, classification of the Foundation, and also management system for internal and external analysis, which foreshadows further analysis. We pointed out some problems on Chinese the Public Welfare Foundation development and governance on the fourth chapter. We should learn from overseas, particularly the United States experience, but also consider our institutional background. So in this section, we firstly introduced development of Chinese the Public Welfare Foundation, and then discussed about Chinese the Public Welfare Foundation governance from the structure and mechanisms governance. We gave some suggestions on Chinese the Public Welfare Foundation governance on the fifth chapter. From two parts of internal and external governance, and also taking some points from theory perspective, through analysis of some hot foundation events, Board of Directors and Supervisory Board, Foundation and external supervision, management and external supervision, we made proposal of Chinese the Public Welfare Foundation development. | |
