中文摘要: | 中国改革开放30多年以来,经济有了飞速的发展。这与中国积极开展国际合作,引进外资,吸引跨国企业来华直接投资有着密切的关系。外商在华的投资额呈现逐年递增的趋势并且连续多年位于发展中国家首位。外资已经成为中国飞速发展经济的重要推动力量。外商在华投资建立公司的同时也将先进的公司治理模式、管理方式、以及高效的激励机制带到了中国。在华外企在中国的很多行业,例如:快速消费品行业、汽车行业、家电行业等都表现出了较高的竞争水平。在激烈的市场竞争环境下,大部分在华外企表现出了很强的竞争力,这与其拥有一整套的高效的激励机制是分不开的。同时,也有一些外企由于没有能够克服跨国经营所面临的文化差异、语言差异等,使得企业的激励失效从而造成大量的损失。高效的激励机制能够为企业吸引并保留住大量的优秀人才,同时高效的激励机制能够调动企业员工的工作积极性,能够充分激发员工的创造性,从而提高企业的核心竞争力。另外,不当的激励会导致企业员工频繁跳槽,从而大大增加企业的管理成本严重影响企业的发展。积极研究在华跨国外企的激励机制,能够对中国企业的发展、防止人才大量外流、充分调动企业员工的创造性和积极性起到积极的借鉴意义。另外,在华外企所面临的经营环境是跨国家、跨民族的。由于语言、文化等方面的差异容易造成管理问题、原有的激励机制达不到预期的效果等问题,因此积极研究在华外企的激励机制,对其本身在中国的发展也能够起到积极的意义。本研究从目前在华外企的现状入手,认真分析了研究在华外企激励机制的理论与现实意义,从而确定研究问题。首先对本研究所涉及到的在华外企、跨国公司治理以及激励机制等核心概念进行了界定。对本研究所要使用到的理论工具:公司治理、激励机制、委托-代理、股权激励等核心理论进行了理论回顾。随后对在华外企的丰富多样的激励机制进行了介绍,其中着重研究了在华外企的股权激励,分析了在华外企实行股权激励的必要性以及股权激励的激励效应。利用了委托-代理、股权激励等理论原理对在华外企的激励机制进行了分析、探讨。最后,介绍并分析了两个在华外企—领先大都克以及图尔克的实际案例。此外本研究还创造性的提出了均衡激励机制模型,对模型中所涉及到的核心概念作了定义,并且详细说明了均衡激励模型的含义。指出企业在设计其激励机制的时候需要同时考虑激励的效率以及激励的公平性,并围绕个人或者团体的激励重心对其设计整套的激励,力求兼顾员工各方面的需求并且突出重点。本研究采用理论分析与案例讨论相结合的研究方法,对在华外企的激励机制以及现实问题进行了讨论并总结。论证了合理的激励机制对企业的快速发展、稳定经营有着重要的作用。对企业建立合理的激励机制起到了一定的现实意义。 关键词:公司治理;在华外企;委托-代理理论;激励机制;均衡激励模型 | |
英文摘要: | The economy of China is developing in a very high speed after the applying of the policy of reform and opening up 30 years ago. There is a very close relationship between the economy growth of China and the corporation with foreign companies. The investment from foreign company increases annually and the amount invested in China is the biggest in the developing countries for several years. Foreign capital has become one of the most important factors for the high speed growth of China economy. Foreign companies bring advanced corporate governance mode, advanced management mode, and highly efficiency incentive schemes to China when they build up branch companies in China. A lot of foreign companies showed very high level competitiveness in many Chinese industries for example: automobile industries, fast-moving consumer industries and appliance industries. Under the intense market competition, most foreign companies showed strong competitiveness. One of important reasons is that they have highly efficiency incentive schemes. At the same time, while, there are also some foreign companies caused a great amount of loss. Because they did not overcome the difficulties of facing a different culture background and different language circumstance so that lead to the dysfunction of motivation. High efficient incentive schemes can help companies to retain a lot of talented people. And it could improve the core competence of companies by exciting its employees’ creativeness and enthusiasm. But, on the other hand, improper incentive schemes could lead to mass job-hopping so that increase the management cost of company. The study of the incentive schemes of cross-border foreign companies in China will have a positive reference for the development of Chinese enterprises on preventing a massive outflow of talent, mobilizing the enthusiasm and creativity of employees. In addition, foreign companies in China face a business environment of multi-countries and multi-nation. Because of language and cultural differences in terms of management issues likely to cause, the original incentive mechanism does not achieve the expected effect. So, studying the incentive mechanism of the foreign enterprises in China could also be positive help for its development in China. This study starts with introducing the current status of foreign companies in China. And it determines the research questions by a careful analyzing of the theoretical and practical significance of the incentives to foreign companies in China, the theoretical and practical significance to determine the research questions. Firstly, this study defines the core concepts of foreign companies in China, multinational corporate governance and incentive scheme. Secondly, it introduces the diverse incentive schemes especially the equity incentive of foreign invested company in China. It analyzes the necessity of implementing incentive schemes and the effect of incentive schemes for the foreign company in China. During the process of analyzing, it uses a lot of theories such as principal-agent theory and equity incentive theory etc. Last but not least, the study analyzes two case studies: AMI DODUCO and TURCK. In addition, this study raises the new conception of equilibrium motivation schemes. The study defines the core concept involved in the schemes and describes the meaning of equilibrium motivation schemes. The company should take both the effectiveness and the fairness of the incentive into consideration. Furthermore, the company should design its incentive schemes around the incentive focus of individual or group so that it can balance the various needs of its employees. This study analyzes the incentive schemes and practical problems of foreign invested companies in China with the method of theory analyzing and case study. The study improved that proper incentive schemes have a very important effect on the developing and operating of the companies. This is valuable for building proper incentive schemes in a company.
