中文摘要:集团公司的管理模式问题是现代企业面临的一道实践性极强的问题。自中国改革开放以来,中国的民营企业中已经出现了越来越多的集团化公司,这是中国经济三十年快速发展的产物,同时,他们也是中国经济发展的重要推动力量。这些众多的集团化公司由原来的单一公司、单一业务、单一产品转变为跨地域,拥有多个子公司、多块业务、多项产品,为中国经济的稳定发展起到了促进作用。2008-2009年的金融危机,也证明了集团化经营企业的抗风险能力比单一企业强,恢复快,为国内经济在世界范围内率先企稳复苏,做出了很大贡献。但是集团化经营企业在经营管理模式上也面临着重大改变和创新,也成为困扰企业经营发展的现实问题。金信集团公司的前身是一家年钢材销售量达到15万吨钢铁贸易公司。近几年,在国家推进城镇化进程,加大固定资产投资力度的大环境下,公司先后在合肥、南京、上海设立了子公司,铺开了大区的销售网络体系,促进了钢铁贸易总公司的发展。随着中国经济的快速发展,社会融资渠道的多元化和高新技术产业的逐步崛起,钢铁贸易总公司紧抓市场机遇,先后投资设立了投资担保公司、典当公司、小额贷款公司、投资管理公司和高新技术企业,形成了涉及多个行业,多元化发展的综合性集团公司。由于金信集团公司是在其旗下钢铁贸易总公司的发展基础上,利用市场的发展机遇,通过股权投资,逐步发展形成集团化运营的公司,集团公司将钢铁贸易总公司的经营管控模式直接作为集团的经营管理模式。由集团公司负责战略规划和整个战略规划的实施;在管理上,集团负责内部管理制度制定,并由集团各职能部门进行实施。虽然各业务公司实行分层分级管理,但是由于集团(控股)公司的发展过快,经营管控模式的局限,导致集团(控股)公司战略思维不清晰,集团愿景不明确;股权结构不是很清晰,法人治理结构不完善;人才储备不足,管理不到位等。本文通过对金信集团公司现有的管控模式进行分析,分析了其存在的弊端。针对现状,然后结合集团公司管理控制模式类型,提出了构建金信集团公司新管理模式的原则和思路,指出了构建“资本控制型”管理模式是金信集团的正确选择。集团可以通过引入战略合作者,进一步进行股权多元化,完善集团及各子公司的法人治理结构,从而实现新管理模式的构建。同时,集团应运用授 权管理体制,完善集团公司的治理和管理等公司运行机制,对金信集团公司构建新的管理控制模式提出具体建议。 
英文摘要:Group company management mode of modern enterprises is a practical problem they face. Since China's reform and opening-up, China's private enterprises have appeared more and more collectivize company, this is the product of China's economic rapid development in three years, at the same time, they are also the important driving force of China's economic development. Many of those collectivize company changes from a single company, a single business, a single product originally into border-crossing chunks business with multiple subsidiaries and many products promoting the stable development of China's economy. 2008-2009 financial crisis, also proved collectivized business enterprises have more stronger and faster recovery ability to resist risks than single enterprise, making great contribution to stabilises domestic economy recovery in the world scope at first. But collectivized business enterprise management mode is also facing major reform and innovation, is also a realistic problem to perplex them to make their business development. The predecessor of JinXin group company is a company with sales volume of 15 million tons in steel and steel trading annually. In recent years, wiht the urbanization process in the country, the fixed assets investment of the environment increasing, the company successively established subsidiaries in hefei, nanjing, Shanghai, spread out the regional sales network system, and promote the development of the steel trading corporation. Along with the rapid development of China's economy, social channels of financing and the diversity of high-tech industry rising abruptly, the Steel trading corporation grasps market opportunities tightly, successively invested to set up Investment Guarantee Company, Pawn company, Microfinance company, Investment management company and High-tech enterprises, formed a comprehensive group corporation involving multiple lines and diversified development. JinXin group company gradually developed into a group operating company based on the development of its steel trade corporation, utilizing the market opportunities of development through the equity investment. The company adopts the corporation management control mode of Steel trading compnay directly as a business management mode fo Group company. The Group company is responsible for the strategic planning and implementation of the strategic planning. On the side of management, the Group company is responsible for the establishment of internal management system and carried out by the group functional departments. Although Layered classification management is implemented for each business company, group (holdings) company strategic thinking is not clear, group vision is not indeterminated, equity structure is not very clear, corporate governance structure is imperfect and talent persons reserve are insufficient, management does not reach the designated position etc. because of the group (holdings) company's rapid development and management control mode limitations. This paper analyzed drawbacks of JinXin group company's existing management control mode. In view of the present situation, combining group company management control mode type, the paper puts forward new principles and ideas of management mode construction of Jinxin Group Company and points out the right management mode choice of Jinxin is to build a management type of "capital control type”. The Group can further diversify the equity, improve the group and the corporation's governance structure so as to realize the construction of new management mode by introducing strategic partners. Meanwhile, the group should use authorized management system to improve governance and management of the group company's operating mechanism and propose recommendations on construction of new management control mode of Jinxin group.
