中文摘要:如何提高委托代理效率(或降低委托代理成本)是企业治理的重要课题,而实施有效的绩效管理,成为提高委托代理效率的有效管理方法和手段。企业集团作为现代企业的高级组织形态,其核心企业(集团)公司对被控股成员企业有效的绩效管理安排显得十分重要而且必须十分周全。(集团)公司要根据自身战略在制定战略目标的同时设计一套切实可行的绩效管理体系,使得被控股成员企业的行为既符合(集团)公司及自身目标实现的要求,又在目标实现后能得到最大限度的激励,从而提高总的效率,提升集团公司的整体业绩。本文以H(集团)公司对控股成员企业的绩效管理为研究重点,从实际案例入手,在分析H(集团)公司对控股成员企业实施绩效管理的现状、存在问题和不足基础上,从系统方法和应用角度,提出H(集团)公司对控股成员企业有效实施绩效管理的改进原则和改进对策,并进一步推导出一般(集团)公司对控股成员企业有效实施绩效管理的保障措施,以指导具体实践。为了保证绩效管理实施的有效性,必须根据(集团)公司与控股成员企业的实际情况,在具体实施前,(集团)公司与控股成员企业间需要有清晰的治理结构、明确的战略目标等相关前提条件;在具体实施过程中,要遵循战略导向性、适用性、系统性、公平性、公开性和相对稳定性等基本法则,抓住绩效指标这个核心和关键,强调高层领导重视、全员参与、持续沟通和互动,重视全程的绩效改善以及适时应对变化是成功的关键;通过绩效计划、绩效辅导、绩效考核、绩效应用等步骤的有序循环,达到(集团)公司与控股成员企业绩效改进、效率提升的目的,最终促进集团战略目标的实现。同时,绩效管理系统本身需要一个不断完善的过程,绩效导向的企业文化建设为绩效管理创造了良好的氛围。 
英文摘要:How to enhance the efficiency of the entrusted agency (or lower the entrusted agency cost) is a very important task of company management and implement effective performance management is an effective way to realize it. As a modern organization, the effectiveness of performance management between the core company (the group) and its member companies is very important and should be thoughtful. In order to enhance the efficiency as well as the company’s performance, according to its’ strategic target, the company (the group) should design a practicable performance management system to make its holding companies’ performance according with the company (the group) as well as the request of their own targets and could be uttermost stimulated after the targets are achieved. This text focuses on the performance management on H Company (the group) for its holding companies by starting with the actual cases. On the basis of analyzing the status, existing problems and deficiency of H Company (the group), this text brings forward the improved principles and project together with relative safeguard measures to guide the actual practice in terms of the system plans and applications. For the purpose of guaranteeing the effectiveness of performance management, before the practice the precondition is the specific management structure, strategy target and etc between the company (the group) and its holding companies according to their current situation. During the practice, the company should obey the basic principles of strategy guiding, applicability, systematicity, fairness, openness and stability, seize the vital point which is the performance index and put emphasis on highness leading regarding, total involvement, continuously communicating and interaction. The key point of success is to pay attention to omnidistance performance improvement and to deal with the variation in time. Through the sequential cycle of performance plan, performance coach, performance check and performance applying, the company could achieve its target of performance & efficiency improvement and finally makes the group’s strategic target come true. Meanwhile, the performance management system is a process of continuously perfection, and the performance-oriented company culture may create a well surrounding for it.
