| 中文摘要: | 本文以真实的一家中小型准家族企业YF公司为研究对象,采用实践导向思路对YF公司的一些现实问题进行研究。企业既有成长的空间,也有成长的边界。企业的成长是企业内部因素与外部因素互动的结果。对于中小企业而言,由于其规模较小,而且企业年龄较短,企业治理和企业文化这两个内部要素往往是最容易被忽视(或没有得到应有的足够重视)的两个方面。通过对YF公司的三年规划和企业愿景的分析和对照,可以发现YF公司三年规划存在的问题以及三年规划与企业愿景之间极弱的关联性,这与中小企业普遍的重视追求“量”上的增长,忽视“质”上的提升的结论是一致的,而“质”上的提升离不开企业治理的优化和企业文化建设两个重要的方面。文章认为,准家族企业同样存在治理方面的问题,只不过企业的治理问题并未在所有权和经营权的分离的层次上出现,而是更多的反应在企业的组织架构和内部管理上,在这种情况下,组织的架构就成为企业治理的一个核心问题,因为它反应了企业的制度安排;而且这些准家族企业同企业现代制度完备、所有权和经营权完全分离的大中型公司同样面临着决策机制、激励机制、约束与监督机制等多方面的治理问题。文章通过YF公司目前治理现状和企业文化建设两个方面的分析,发现了YF公司在这两个方面存在的问题和不足,给出了YF公司在企业治理和企业文化建设方面的建议。本文正文共分为六章。第一章为引言,介绍了研究背景、研究意义、研究思路及研究内容和方法。第二章为相关理论的概述,回顾了关于企业成长、企业治理、企业文化等方面的理论发展脉络,第三章为YF公司及其发展目标,第四章聚焦于YF公司的治理结构,突出对了YF公司组织架构分析、对YF公司决策、激励、约束等治理机制上的分析,之后给出了相应的优化建议。第五章聚焦于YF公司的企业文化建设,并给出建议。第六章为本文的结论部分,在给出主要结论的同时,指出了文章的不足之处。 | |
| 英文摘要: | Taking a real small/medium-sized enterprise (SME in short) with name Yufeng Co., Ltd. (Yufeng in short, a quasi-family enterprise) as the research object, this paper explores some actual and practical problems facing the company in a practice-oriented approach. The growth of an enterprise is resulted from the interactions between its internal factors and external factors which gives space for the enterprise to grow whilst at the same time defines the would-be boundary for its growth. Due to the scale and young ages of SMEs, including quasi-family enterprises, corporate governance and corporate culture are the two factors that mostly tend to be neglected in the enterprises, or fail to be attached sufficient importance. This accords in the facts that most of the SMEs may place more emphasis in the “growth of quantity” than in the “upgrade of quality”. This paper argues that in quasi SMEs (typically the owner is the runner), corporate governance still exists and thus problems related to corporate governance also exist. These facts are also found in Yufeng. This paper focuses on the two factors (corporate governance and corporate culture) of Yufeng and provides implications based on theoretical and practical analyses. This thesis contains six chapters. Chapter 1 presents the background, the object to research on, the research implications and research approach. Chapter 2 reviews the theories or fundamentals on the nature of enterprise growth.Chapter 3 presents the profile of Yufeng and its plan for the next period of three year, and discusses the problems of the plan. Chapter 4 focuses on the corporate governance of Yufeng, highlighting its organizational architecture, its decision making mechanism, its motivating and constraining mechanism in terms of corporate governance, and offers corresponding suggestions. Chapter 5 focuses on Yufeng’s corporate culture. | |
