中文摘要：	为建立中国特色医药卫生体制，2009年3月17日中共中央、国务院就深化医药卫生体制改革正式出台了《关于深化医药卫生体制改革的意见》，其中第五条第二十项要求：“推进公立医院改革试点。改革公立医院管理体制、运行机制和监管机制，积极探索政事分开、管办分开的有效形式，完善医院法人治理结构”。本文在系统回顾了公司治理、公立医院法人治理结构的概念和相关理论的基础上，对我国实施公立医院法人治理结构改革的现状进行了分析；提出公立医院法人治理结构的基本原则和理事会模式；明确了理事会、监事会和院长的职责和权利；分析了公立医院法人治理结构的特殊性；提出建立公立医院法人治理结构的核心方案；进一步提出建立公立医院法人治理结构的具体实施步骤；最后客观预计了按照上述方案和步骤所产生的效果。通过上述研究得出结论即建立和完善公立医院法人治理结构是以两权分离为基础，以处理好所有者与经营者的关系为主线，明确划分公立医院权力机构、决策机构、经营机构和监督机构各自的责任、权力和利益关系。通过建立法人治理结构，明确医院产权，规范医院行为，增强医院活力，从根本上解决卫生改革的难点、热点和焦点等深层次矛盾，促进卫生事业的健康发展。
英文摘要：	For the establishment of medical and health system with Chinese characteristics, the CPC Central Committee and State Council publish the formal introduction of the medical and health system "on deepening the views of medical and health system", which twentieth requirements of Article V shows that "Promoting Public hospital reform. Reform of public hospital management system, operation mechanism and supervision mechanism, and actively explore the conduct of public affairs separate, effective forms of separate management from operation, improve the corporate governance structure of the hospital. This paper review of corporate governance, public hospital corporate governance structure of the concepts and theories, based on about Implementing structural reform of public hospital corporate governance analysis of the current situation; made public hospital corporate governance structure of the mode of the basic principles and the Council, clear the Council of Supervisors and the President of the duties and rights; analysis of corporate governance structure of public hospitals particularity; proposed the establishment of public hospital corporate governance structure of the core program; further proposed the establishment of corporate governance structure in public hospitals the specific implementation steps. The study concluded that by establishing and improving corporate governance structure of public hospitals is based on separation of ownership and to deal with the relationship between owners and operators of the main line, a clear division of public hospital authority, decision-making institutions, institutions and respective responsibilities of supervisory authority, powers and interests. Through the establishment of corporate governance structure, we can clear hospital property, regulate hospital behavior, and enhance the hospital activity, from the fundamental solution to the difficulties of health reform, the focus of the hot spots and other deep-seated contradictions, and promote the healthy development of health services.
