中文摘要:随着市场经济的不断发展,企业间的竞争愈加激烈,企业如何创造持续竞争优势,获得长期快速稳定的发展成为企业关注的核心问题。目前,许多企业在追求多元化实现发展的过程中,利用并购整合的方式,扩大企业规模,拓展企业涉及的产业范围,增加企业的产品种类,进而分散风险,提高市场竞争力。始建于1979年的四川宏达集团,其主营业务从原本的磷肥,逐步扩展到了化工业、冶金业、贸易、房地产、金融等产业,栖身中国500强企业和中国最大500家企业集团。宏达集团不断发展壮大,与其实施的并购战略密不可分。本文将对宏达集团的并购活动进行说明,阐述并购战略如何为宏达集团创造持续竞争优势。本文首先对涉及到得并购以及持续竞争优势理论进行了回顾。其次,运用PEST、五力模型等分析方法对宏达集团所处的宏观环境、行业环境以及内部环境进行了详细的分析。在此基础上,本文着重对宏达集团2001年后的并购战略选择的动因与宏达集团的并购战略实施加以说明,对其在并购活动过程中的各资产、文化等整合以及风险防范控制方面做了细致的描述与分析。最后,本文利用VRIO模型对宏达集团通过并购战略所获得的资源特征做出评价分析,进一步研究并购战略如何促成其持续竞争优势的产生。本文通过对宏达集团并购战略的分析,希望能够为我国民营企业的并购战略提出意见和建议,为我国民营企业的发展做出贡献。 
英文摘要:With the continuous development of market economy, the competition among enterprises has been increasingly fierce. How companies to create sustainable competitive advantage and get long-term quick stable development has became the core issue of concern. At the moment, many enterprises use the way of merge strategy to reach the goal of diversification. They expand the scale and increase the categories of products to spread risk and improve market competitiveness. Sichuan Hongda Group was founded with the production of phosphate fertilizer in 1979. Its business scope gradually extended to industry, metallurgy industry, trade, real estate, finance and other industry. It has been listed as one of the China's top 500 enterprises and China's biggest 500 enterprise group. Sichuan Hongda group’ success is inextricably linked with its acquisition strategy. Now this thesis introduces the acquisition strategy and explains how the strategy is to create competition advantage for Sichuan Hongda Group. First, the thesis reviews the theory of acquisition and Sustainable competitive advantage. Second, the thesis uses the PEST, five forces model and RBV perspectives to analyze the macro-environment, industry environment and internal environment of the Sichuan Hongda group. Based on these analyses, the thesis introduces the Sichuan Hongda Group’s M&A strategy and the implementation of the strategy since 2001, especially the asset redeployment and risk prevention as well. Using the VRIO model from RBV, this thesis evaluates the resources which Sichuan Hongda group has got from M&A strategies and investigates further how those resources create a competitive advantage for the company. Through these analyses the thesis hopes to offer suggestions and opinions about the M & A strategy and to make contributions to the development of China's private-owned enterprises.
