| 中文摘要: | 在新的形势下,股权激励作为一种新型的激励-约束模式,具有可以改善公司治理结构、降低代理成本、提升管理效率和提高人才竞争力等方面的优势,是今后一个时期企业管理中不容忽视的趋势,企业应根据自身不同的情况来设计股权激励形式,提高激励效率。本文的研究目标是对股权激励的理论和体系进行系统梳理;探索股权激励在我国国有企业的实施环境和实施模式;结合案例公司的实际,设计符合特定企业特征和激励目标的股权激励方案和推行策略、途径等。 本文共分为四个部分:第一部分包括第一章导论,主要介绍本文的研究背景、研究目标及思路。第二部分包括第二章相关理论与研究综述,主要介绍股权激励的相关理论及三种主要形式,重点是员工持股制度的发展。第三部分包括第三、四、五章,主要围绕案例公司的实际情况展开的。其中,第三章,TTW公司发展现状及员工持股方案导入必要性分析:主要介绍了TTW公司的特点和发展现状,分析了所处的环境以及在发展过程中存在的问题,并从员工激励变革的需要、适应公司战略发展的需要及竞争的需要等三个方面论述了实施股权激励的必要性。第四章,TTW公司员工持股方案:主要介绍了TTW公司员工持股计划实施的目标并具体从TTW公司员工构成,持股比例,员工持股范围和额度及员工持股会的建立和运行等方面为TTW公司设计了一份员工持股方案,该部分构成本文的核心内容。第五章,TTW公司员工持股制度的实施:主要介绍了为了使TTW公司的员工持股制度顺利实施所需的制度保证和文化保证及应采取的措施。第四部分,也是本文的最后一部分,包括第六章结论,主要展望了股权激励制度在未来的发展方向及本文的一些不足。 | |
| 英文摘要: | Under the new situation, the stock incentive, as a new incentive-binding mode, has the advantage in improving the governance structure of the company, reducing costs in agent, enhancing management efficiency and improving the competitiveness of talent, moreover, it will be a necessary trend for enterprise management in the future. Thus, the enterprise should deign the stock incentive form and enhance the incentive efficiency according to their own conditions. The study objective of this paper is to systematically arrange the theory and system of the stock incentive; explore its implementation environment and operational model among China's state-owned enterprises; design the stock incentive program, implementation strategy, ways, etc in combining the actuality of sample company that is suitable to characteristics and incentive goals for special enterprise. This paper is mainly divided into four parts: the first part includes the introduction in chapter one, which mainly introduces the study background, study goal and thoughts of this paper. The second part includes the related theory and study review in chapter two, which mainly introduces the related theory of the stock incentive and the three main forms, focusing on the development of employee’s shareholding system. The third part includes chapter three, four and five, which mainly centers on the actual situation of the sample company. Among which, the third chapter, the current development situation of TTW company and the necessary analysis for employee’s shareholding program: mainly introduces the characteristics and current development situation in TTW company, analyze its environment and the problems existed in its development process, furthermore, it discusses the necessity to implement the stock incentive from three aspects, the need for employee’s incentive innovation, the need suitable for company’s development and the need of competition. Chapter four, the employee’s shareholding program of TTW company, mainly introduce the implementation goal of employee shareholding program in TTW company, also design an employee’s shareholding program for TTW company from aspects of employee structure, the proportion of shares held, scope and amount of employee shareholding, the establishment and operation of employee’s shareholding association. Chapter five, the implementation of employee shareholding system in TTW company: mainly introduces the needed system guarantee, culture guarantee and guarantee measures for smooth implementation of employee’s shareholding system. The fourth part is also the last part of this paper, which includes the conclusion in chapter six, mainly prospecting the development direction of stock incentive system and the shortcomings in this paper. | |
