中文摘要：	随着知识经济的迅猛发展，全球经济一体化程度的加深，中国经济越来越全面地融入到世界经济体系。面对更加激烈的市场竞争，结合企业实际通过完善企业自身的技术创新机制培育企业的核心竞争能力，成为摆在国有企业面前的课题。国有企业改革的不断深化，公司治理成为企业发展的关键越来越成为共识。本文通过对天津通广集团的技术创新问题的案例分析，就如何建立规范化的公司治理机制来促进企业技术创新提出自己的改善对策。对其他的国有企业开展技术创新有一定的参考价值。 本文通过对公司治理、企业技术创新等文献进行研究，对公司治理机制如何形成技术创新激励，以及对技术创新决策、技术创新战略选择产生影响的机理进行研究。研究了企业公司治理机制对企业技术创新的影响，分别从公司治理机制中的股权结构、董事会结构以及经营管理者的激励与约束等方面分析公司治理结构对企业创新活动的影响。 采用理论与实践相结合的研究方法，对于天津通广集团公司目前技术创新中存在的问题基于公司治理的视角分析问题产生的原因。从改善股权结构、完善董事会结构、健全经营者和人力资本所有者激励与约束机制等方面提出改善建议。从而找到适合本公司技术创新的公司治理机制，在制度上保障企业的技术创新活动的顺利合理地开展，提高企业的创新能力。对于完善我国国有企业公司治理结构，促进企业技术创新摆脱困境，提高企业竞争实力有一定的现实意义。
英文摘要：	With the rapid development of knowledge-based economy, China’s economic integration into the world economic system gradually deepened the extent. Facing the keen competition, optimizing the technological innovation mechanism and cultivating the core competitiveness based on the practical situation of the enterprise have become one of the important issue of the state-owned enterprises. Corporate governance is the key to enterprise development, with the deepening of the state-owned enterprise reform. Herein, TCB has been selected as a sample, we present the theoretical and practical analysis on how to establish a standardized corporate governance mechanism to encourage the technological innovation of the state-owned enterprise by analyzing the cases of Group-wide technological innovation and corporate governance. In the present paper, literatures about the corporate governance and enterprise technological innovation have been researched systematically. Furthermore, the role of corporate governance mechanism on the formation of technological innovation encouragement, the decision of technological innovation and technological innovation strategies has been discussed in detail. In this paper, the achievements and defects in the technological innovation of TCB have been analyzed by using induction method, diagram method and theoretical and empirical analysis method. Also, the existing problems in the technological innovation in the present situation of the enterprise have been researched and the causes for the problems have been analyzed based on the theory of corporate governance. Furthermore, the influence of corporate governance structure on the behavior of enterprise technological innovation has been studied. The analysis involves the influence of stock ownership structure, board structure, as well as the incentive and restraint of operators and managers on the activity of enterprise technological innovation. Besides, improvement of the stock ownership structure and board structure, strengthening the human capital operators and owners incentive and restraint have been proposed as strategies to establish a new corporate governance mechanism, which provides a security for the process of enterprise technological innovation. And thus this is favorable for the development of TCB.
