| 中文摘要: | 知识经济的背景下,在当今快速变化的国际国内环境下,我国军工企业的发展面临着严峻的挑战。其生存竞争的环境变化越来越快,越来越复杂;技术、经济、政治等因素都在影响着企业的运营及竞争能力。在当前军事发展需求与目前的国防能力供给存在落差的情况下,国家做出积极推进军工企业实行股份制改造的重大决策。在这一改制进程中,军工企业的治理问题必将随着改制的进行突显出来。 军工企业的公司治理问题,目前在学界的研究还处于初创阶段。对这一问题,在理论层面上还缺乏系统的探讨。本文在运用国防经济理论与公司治理理论的基础上,回顾了我国军工企业的改革发展历史,借鉴一些发达国家军工企业改制的经验,论述了当前正在进行的军工企业股份制改造进程。在借鉴非军工一般企业公司治理经验的基础上,从内部治理与外部治理两个方面,提出我国军工企业股份制改造过程中公司治理的一般性制度建设方案;强调以利益相关者理论为基础来建立和规范军工企业的公司治理结构及治理思路。通过案例分析对军工企业集团治理的模式进行了探讨。在分析军工企业特殊性的基础上,提出我国军工企业治理问题的特殊性及解决原则。以“分类改造、区别对待”的思想为主导,提出应该构建中国特色的军工企业治理模式体系的思路。特别的针对我国国有独资军工企业,提出完善其公司治理的政策建议。 | |
| 英文摘要: | In the context of knowledge and in the fast-changing environment both home and abroad, our state-owned defense industry enterprises are facing severe challenges. The environment for their survival and competition is changing more and more quickly and complicated. Factors like technology, economics, politic are affecting their operating and competitive abilities. There is a gap between requirement for military development and supplies of current national defense power. Under such circumstances, Government has made the decisive decision to actively promote reorganization of stock company within defense industry enterprises. During this process, the corporate governance problems in defense industry enterprises will certainly come about with the reorganization. The academic research into the corporate governance of defense industry enterprises is still at its beginning stage. Theoretically speaking, there is still a lack of systematic discussion about this problem. This thesis is based on the theories of defense economics and those of corporate governance. It reviews the developing history of reform in our defense industry enterprises and takes the reforming experience of defense industry enterprises in some developed countries as a reference. It discusses the ongoing transformation process of defense industry enterprises. Drawing from the experience of the management of non-military industry enterprises, this thesis puts forward the plan for the general institution construction in corporate governance in the stock reform of our defense industry enterprises in terms of both inside governance and outside governance. It emphasizes the construction and standardization of defense industry enterprises according to the Stakeholder Theory. This thesis also discusses the managing patterns of these enterprises through case studies. On the basis of the analysis of the specialty of defense industry enterprises, this paper puts forward the specialty about the governance problems in our defense industry enterprises and the corresponding solutions. Guided by the thought of “transformation according to types and different treatment”, this paper attempts to bring a thought for constructing a managing pattern system for defense industry enterprises with China’s characteristics.
